Advice and Instructions. Any advice given to you by us shall be in writing. We prefer our clients to give us instructions in writing, to aid clarification and avoid future misunderstandings. We will, however, accept oral instructions provided they are confirmed in writing. We will record all transactions on our files which, along with copies of relevant documentation, will be retained by us for a period of not less than six years. Basis of charging With effect from 1/1/2013 and in accordance with the rules of our regulator, The Financial Conduct Authority, for new investment business we are prohibited from accepting any payment of commission or other non-monetary benefits from a product provider. All costs and charges relating to advice, product arrangement and the costs of any ongoing services we provide will be fully disclosed and agreed with you before we undertake any work. Annual fund based fees will be calculated on the plan’s anniversary or the first working day following should the anniversary fall on the weekend. Material Interest We will act honestly, fairly and professionally and will conduct business in our Clients’ best interests. Occasionally situations may arise where we or one of our other clients have some form of interest in business transacted for you. If this happens or we become aware that our interests or those of one of our other clients conflict with your interest, we will write to you and obtain your consent before we carry out your instructions, and detail the steps we will take to ensure fair treatment. Rights to Cancel We will inform you of your statutory right to cancel. The Distance Marketing Directive normally grants you 30 days in which you may cancel a life or pension contract, or 14 days for an investment. However, there will be occasions where no statutory rights are granted, this will be explained before any contract is concluded.

We charge our services by way of a fee. These fees are based on a percentage of the amount you invest.

Paying for services – Investments Our primary service proposition focuses on the accumulation, management, and protection of wealth. This is an ongoing service, for which we charge on an ongoing basis. Our standard charge for the service is 1% per annum (collected monthly) of the value of investments under management. It is calculated from the date of the initial investment until the ongoing service is cancelled or the funds are completely withdrawn. When we first take clients on board for this service there will usually be an amount of preparatory work involved to establish and record the precise details of their existing financial planning arrangements and to make recommendations in relation to them. As we charge a fee for ongoing service, we will not charge a fee for this preparatory work. See pages 9 – 12 for further information.

  • Fund Instructions 6.1 Transfer Agent will not be liable for its acting upon Written or Oral Instructions reasonably believed to have been executed by an Authorized Person and executed in accordance with the standard of care provided in Section 10, and Transfer Agent will not be held to have any notice of any change of authority of any person until receipt of a Written Instruction thereof from a Fund. Transfer Agent will also have no liability when processing Share certificates which it reasonably believes to bear the proper manual or facsimile signatures of the officers of a Fund and the proper countersignature of Transfer Agent.

  • Reliance Upon Documents and Instructions The Custodian shall be entitled to rely upon any certificate, notice or other instrument in writing received by it and reasonably believed by it to be genuine. The Custodian shall be entitled to rely upon any Written Instructions actually received by it pursuant to this Agreement.

  • Reliance on Certificates and Instructions The Custodian shall be entitled to rely upon any Certificate, notice or other instrument in writing received by the Custodian and reasonably believed by the Custodian to be genuine and to be signed by an officer or Authorized Person of the Fund. The Custodian shall be entitled to rely upon any Written Instructions or Oral Instructions actually received by the Custodian pursuant to the applicable Sections of this Agreement and reasonably believed by the Custodian to be genuine and to be given by an Authorized Person. The Fund agrees to forward to the Custodian Written Instructions from an Authorized Person confirming such Oral Instructions in such manner so that such Written Instructions are received by the Custodian, whether by hand delivery, telex or otherwise, by the close of business on the same day that such Oral Instructions are given to the Custodian. The Fund agrees that the fact that such confirming instructions are not received by the Custodian shall in no way affect the validity of the transactions or enforceability of the transactions hereby authorized by the Fund. The Fund agrees that the Custodian shall incur no liability to the Fund in acting upon Oral Instructions given to the Custodian hereunder concerning such transactions provided such instructions reasonably appear to have been received from a duly Authorized Person.

  • Form instructions 1. This form does not mandate the use of a specific font size or style but the font must be legible.

  • Proceedings and Instruments Satisfactory All proceedings, corporate or other, to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's counsel, and Seller shall have made available to Buyer for examination the originals or true and correct copies of all documents which Buyer may reasonably request in connection with the transactions contemplated by this Agreement.

  • Authorized Instructions The Custodian shall be entitled to rely upon any Oral Instructions or Instructions actually received by the Custodian and reasonably believed in good faith by the Custodian to be from an Authorized Person (“Authorized Instructions”). Notwithstanding any other provision included in this Agreement, Written Instructions relating to the disbursement of moneys of the Fund other than in connection with the purchase, sale or settlement of Securities, shall be in the form of a Certificate. The Fund agrees that an Authorized Person shall forward to the Custodian Instructions confirming Oral Instructions by the close of business of the same day that such Oral Instructions are given to the Custodian. The Fund agrees that the fact Instructions confirming Oral Instructions are not received or that contrary Instructions are received by the Custodian after the Custodian has effected such Oral Instructions shall in no way affect the validity or enforceability of transactions authorized by such Oral Instructions and effected by the Custodian.

  • INVOICING INSTRUCTIONS The A-E will provide an invoice on the A-E’s letterhead. Each invoice will have a unique number and will include the following information:

  • Billing Instructions Enter name and mailing address of nominating Agency Finance Office for billing purposes.
