ACTS OF GOD; FORCE MAJEURE. 6.1. None of the Parties will be liable for the full or partial failure to fulfill any of its obligations, if the failure is a direct consequence of force majeure circumstances (acts of God) beyond the control of the Parties that arose after the conclusion of the Agreement.

ACTS OF GOD; FORCE MAJEURE. A party shall not be required to perform any term, condition or covenant of this Lease, or be liable for any damages to the other party, so long as the performance or nonperformance of the term, condition or covenant is delayed, caused by or prevented by an Act of God or Force Majeure; provided, however, the foregoing shall be inapplicable to, and shall not in any way excuse LESSEE’S or LESSOR’S failure to timely pay Base Monthly Rent or other monetary amount due hereunder, as applicable, from one party to the other at the time such payments are due. For purposes of this Lease, Act of God and Force Majeure are defined as strikes, lock-outs, sit-downs, material or labor restrictions by any governmental authority, unusual transportation delay, riots, floods, washouts, explosions, earthquakes, fire, storms, weather (including wet grounds or inclement weather which prevents construction), acts of terrorism and public enemy, wars, insurrections or any other cause not reasonably within the control of the party required to take such action and which by the exercise of due diligence is unable, fully or in part, to prevent or overcome; provided, however, the inability to secure a certificate of occupancy from the appropriate governmental authority shall not permit an Act of God or Force Majeure delay.

ACTS OF GOD; FORCE MAJEURE. Notwithstanding the other provisions of this Program Addendum, if Franchisee is prevented from completing the ESIP Work by the Completion Deadline by any act of God, labor strike, civil unrest, or similar cause, Franchisee must promptly notify BKC in writing of such event. Together with such notice, Franchisee must provide BKC with all relevant information about the effect of such event on Franchisee's ability to complete the ESIP Work and advise BKC of the expected delay in completion as a result of such event. After reviewing the facts, BKC will notify the Franchisee in writing of its decision regarding a reasonable extension of the Completion Deadline, but in no event shall BKC be required to provide an extension of more than six months. Delays that may be anticipated to arise in the course of restaurant remodeling or rebuilding, including without limitation delays in obtaining permits or zoning variances, shall not be considered cause for extension of the Completion Deadline.

ACTS OF GOD; FORCE MAJEURE. Nothing contained in this Conservation Easement entitles the United States or BPA to bring any action against the Grantor for any injury to or change to the Protected Property that causes a substantial degradation of habitat resulting from causes beyond the Grantor’s control, including, without limitation, naturally caused fire, flood, storm, or earth movement, or from any prudent action taken by the Grantor under emergency conditions to prevent, xxxxx, or mitigate significant injury to the property resulting from such causes. The Parties shall make all reasonable efforts to resume performance promptly once the force majeure is eliminated.
ACTS OF GOD; FORCE MAJEURE. In the event that lawful performance of this Agreement or any part hereof, by either Party hereto, shall be deemed impossible to fulfill by or as a consequence of any law or any act of any government having jurisdiction over such Party, such Party shall not be considered in default hereunder by reason of any failure to perform occasioned thereby. Any delay in the performance of any other obligations of either Party hereunder shall be excused if, and to the extent, caused by occurrences beyond such Party’s reasonable control, including Acts of God or force majeure, such as governmental orders or restrictions, war, warlike conditions, hostilities, sanctions, mobilization, blockade, embargoes, strikes or other major labor troubles or any other cause or causes that cannot be reasonably controlled by either Party.
