Accepting a Per Course appointment from the University shall not restrict the Per Course Instructor from engaging in other employment, professional, scholarly or scientific activities, provided such employment or activities do not conflict with the performance of the duties and responsibilities of the Per Course Instructor and further provided that the Per Course Instructor shall not represent himself or herself as acting on behalf of the University, unless specifically authorized to do so. However, nothing shall prevent the Per Course Instructor from stating the nature of his or her appointment with the University.

Accepting. (i) the Assignment of the Operating Sublease upon payment in full of the Purchase Price and without any abatement of the Purchase Price by reason of such loss or damage, (ii) payment of the amount of any insurance proceeds to the extent actually collected by Seller in connection with such fire or other casualty, less the amount of the actual expenses incurred by Seller in collecting such proceeds and in making repairs to the Property occasioned by such fire or other casualty, and (iii) an assignment (without warranty or recourse to Seller) of Seller's rights to any payments to be made subsequent to the Closing Date under any hazard insurance policy or policies in effect with respect to the Property. Purchaser shall not be entitled to the payment of insurance proceeds or an assignment of Seller's right to insurance proceeds if such proceeds are in excess of the cost of repairing any loss or damage to the Property; Seller shall be entitled to the excess proceeds, if any. If Purchaser fails to exercise its option as set forth in Section 11.1.1 within ten (10) days after notice to Purchaser of any loss or damage to the Property, Purchaser shall be deemed to have exercised the option set forth in Section 11.1.2.

Accepting an assignment of the lease and repurchasing the vehicle from GMAC for the residual value as determined at the inception of the lease plus the unpaid rentals (adjusted to extract unearned money costs) and any other amounts owing under the lease if there is a default under the lease resulting from any material misrepresentation made on the Lessee Statement or in the insurance verification provided. Dealer will have no other responsibility other than that outlined above and in Provision 6 unless Dealer takes Lessee out of the leased vehicle prior to lease maturity. The wholesale value established will be the "clean" or "average" value of a like vehicle including options and with the mileage that would have accrued if the vehicle had been operated in accordance with the mileage provision of the lease.
