Abandonment or Suspension. In the event that the State abandons the Project entirely or suspends same for more than ninety (90) calendar days, the Consultant shall only be entitled to compensation for services satisfactorily rendered as of the date of Notice of Abandonment or Suspension. In the event of abandonment or suspension, the Consultant shall remain the Consultant of record and be entitled to continue as the Consultant should the Project be recommenced within twelve (12) months after receipt of written notice.
Abandonment or Suspension. If the Owner suspends or abandons the Project, the Owner shall pay all fees and Reimbursable Expenses which have become due and payable to the T&B Firm pursuant to Article VIII of the General Terms and Conditions and Exhibit D, Schedule of Progress Payments and Hourly Rates. The T&B Firm shall not be entitled to lost profits for uncompleted work. Payment shall be made for that portion of the work that the T&B Firm completed prior to the abandonment or suspension and the Owner shall have no further obligation to the T&B Firm for the payment for any other fees, unless the Project is resumed by the Owner.

If the Owner suspends or abandons the Project, the Owner shall pay all fees and Reimbursable Expenses which have become due and payable to the Architect/Engineer pursuant to Article VIII of the General Terms and Conditions and Exhibit D, Schedule of Progress Payments and Hourly Rates. The Architect/Engineer shall not be entitled to lost profits for uncompleted work. Payment shall be made for that portion of the work that the Architect/Engineer completed prior to the abandonment or suspension and the Owner shall have no further obligation to the Architect/Engineer for the payment for any other fees, unless the Project is resumed by the Owner.

If the Project or any part thereof is abandoned at any stage prior to completion of the design, or if any stage of the Consultant's work is unduly delayed for reasons beyond the Consultant’s control, the City shall compensate the Consultant for his Services from the inception of the work on a “Per Diem Rate” basis or on a “Time” basis, or on the basis of the Consultant's estimate of the proportion of the Consulting work completed, as agreed to by the City and the Consultant. If the Project or any part thereof is abandoned at any stage subsequent to the completion of the design, or if any stage of the Consultant's work is unduly delayed for reasons beyond the Consultant’s control, the City shall compensate the Consultant for the Consultant’s Services from inception of the work to the completion of design as provided in this Agreement, and shall compensate the Consultant for the Consultant’s Services subsequent to the completion of design on a “Per Diem Rate” basis or on a “Time” basis or on the basis of the Consultant's estimate of the proportion of the Consulting work completed, as agreed to by the City and the Consultant.
Abandonment or Suspension. The Company may abandon or suspend any -------------------------- registration effected pursuant to the provisions of this Section 7.1 at any time and without any liability to any Holder hereof other than its obligations, to the extent permitted by applicable law, to pay the expenses of the Company and the selling security holders in connection therewith; provided, that the Company --------- does not hereunder undertake to pay any expenses if abandonment or suspension results, in its good faith judgment, from information or statements provided in writing by the Holder hereof.

In the event the District terminates, abandons or suspends the work on the Project, there shall be due and payable within thirty (30) days following such termination, abandonment or suspension a sum of money sufficient to increase the total amount paid to Construction Manager to an amount which bears the same proportion to the total fee as the amount of services performed or provided by Construction Manager prior to the time of such termination, suspension or abandonment of this Agreement bears to the entire services Construction Manager is required to perform or provide for the Project. In the event of termination due to a breach of this Agreement by Construction Manager, the compensation due Construction Manager upon termination shall be reduced by the amount of damages and liquidated damages sustained by District due to such breach. In the event that District chooses to abandon the Project or terminate the Agreement without cause, Construction Manager shall, in addition to the compensation described above, also be reimbursed for reasonable termination costs through the payment of (1) 3% of the Construction Management Fees incurred to date if less than 50% of the Construction Management Fees have been paid; or (2) 3% of the remaining Construction Management Fees if more than 50% of the Construction Management Fees have been paid. This payment is agreed to compensate Construction Manager for any damages resulting from early termination and is consideration for entry into this termination for convenience clause.

The Contractor shall not be entitled to lost profits for uncompleted work. Payment shall be made for that portion of the work that the Contractor completed prior to the abandonment or suspension and the Company shall have no further obligation to the Contractor for the payment of any other fees.

Payment shall be made for that portion of the work that the GEOTECH Firm completed prior to the abandonment or suspension and the Owner shall have no further obligation to the GEOTECH Firm for the payment for any other fees, unless the Project is resumed by the Owner.

If the Owner suspends or abandons the Project, the Owner shall pay all fees and Reimbursable Expenses, which have become due and payable to the Architect pursuant to Exhibit D- Schedule of Progress Payments and Hourly Rates. The Architect shall not be entitled to lost profits for uncompleted work. Payment shall be made for that portion of the work that the Architect completed prior to the abandonment or suspension and the Owner shall have no further obligation to the Architect for the payment of any other fees, unless the Project is resumed by the Owner. Architect, at the option of the Owner, shall complete its services under this Agreement upon resumption of the Project by Owner, and Architect shall, in that event, be entitled to payment of the remaining unpaid fees which become payable to it under this Agreement, to be payable at the times and in the manner specified in this Agreement. In no event will any fee or part thereof become due or payable to Architect unless and until Architect has attained and completed that stage of work where the same would be due and payable under the terms of this Agreement.
