Suspension or Abandonment. The DISTRICT has the absolute discretion to suspend or abandon all or any portion of the Services for any length of time and may do so upon seven (7) days written notice to CONSULTANT. Upon notice of suspension or abandonment, CONSULTANT shall discontinue any further action related to the Services. If the entire Services are abandoned, the Parties shall each be relieved of the remaining executory obligations of this Agreement, as it relates to the Services, but shall not be relieved of any obligations arising prior to said abandonment or of obligations related to any other services. Compensation to the CONSULTANT under 9.3 shall be identical to compensation to CONSULTANT under 9.2 above. Nothing set forth herein shall preclude the DISTRICT from its rights and/or remedies of offset, set off, back charge, and/or indemnity, against the CONSULTANT and/or its insurance carriers.
Suspension or Abandonment. The Borrower shall not (and shall not permit any of its Subsidiaries to) permit or suffer to exist an Event of Abandonment without the prior written approval of the Agent.

If the Project is resumed after being suspended for more than three (3) months, the Contractor’s compensation shall be equitably adjusted if, in the Owner’s reasonable opinion, such adjustment is warranted.

No Borrower owning a Plant shall (i) permit or suffer to exist an Event of Abandonment relating to such Plant or (ii) order or consent to any suspension of work in excess of sixty (60) days under any Project Document relating to such Plant, in each such case without the prior written approval of the Required Lenders.

The Borrower shall not (i) permit or suffer to exist an Event of Abandonment or (ii) order, allow to subsist or consent to any suspension of work in excess of sixty (60) days under any Project Document, other than a suspension of work due to a force majeure event under such Project Document, in each such case without the prior written approval of the Majority Lenders.

If the Project is resumed after being suspended for more than three (3) months, the CM’s compensation for Pre-Construction Phase Services shall be equitably adjusted if, in the Owner’s reasonable opinion, such adjustment is warranted.
Suspension or Abandonment. 9.1 District hereby reserves the right to suspend or abandon at any time all or any of the construction work on the Project. In the event of such suspension or abandonment, Architect/Engineer shall be paid pursuant to the schedule of payments set forth in Articles 4 and 5 of the Agreement for services rendered up to the date of such suspension or abandonment, less any damages suffered by District as a result of the performance of Architect/Engineer. Architect/Engineer hereby expressly waives any and all claims for damages or compensation arising under this Contract, except as set forth herein, in the event of such suspension or abandonment.
