Transition Services Agreements definition

Transition Services Agreements has the meaning set forth in Section ‎6.22.

Transition Services Agreements means any agreements that receive the prior approval of the Commission between Respondents and an Acquirer to provide, at the option of the Acquirer, Transition Services (or training for an Acquirer to provide services for itself), necessary to transfer the Retail Fuel Assets to the Acquirer and to operate the Retail Fuel Outlet Businesses in a manner consistent with the purposes of this Order.

Transition Services Agreements means that certain agreement, dated as of the Closing Date, by and between Seller and Buyer, pursuant to which Seller shall provide the transition services as described therein, substantially in the form as set forth on Exhibit C.

• Except as otherwise provided under this Agreement or in any Transition Services Agreements and to the extent that Mallinckrodt Group Employees have not previously ceased participating in a Covidien Benefit Plan, effective as of the Effective Time, Mallinckrodt Group Employees shall cease participating in any Covidien Benefit Plan and shall, thereafter, be ineligible for benefits under any Covidien Benefit Plan.

• All matters relating to the provision of support and other services by one Group to the other Group after the Effective Time, covered by the Transition Services Agreements, shall be governed exclusively by the respective Transition Services Agreements, except as may be expressly stated herein or therein.

• All matters relating to the provision of support and other services by the PEC Group to the Patriot Group after the Effective Time covered by the Transition Services Agreement, other than as provided in Section 13.07, shall be governed exclusively by the Transition Services Agreements substantially in the form of Exhibit G hereto, except as may be expressly stated herein.

• From and after the Distribution Date, any services that a member of the TimkenSteel Group will provide to the members of the Bearings Group or that a member of the Bearings Group will provide to the members of the TimkenSteel Group relating to any Benefit Plans will be set forth in the Transition Services Agreements (and, to the extent provided therein, a member of the TimkenSteel Group or the Bearings Group will provide administrative services referred to in this Employee Matters Agreement).

• Except as otherwise provided in the Transition Services Agreements or as otherwise expressly provided herein, neither party shall have any responsibility for providing services to the other party with respect to employee or Benefit Plan matters after the Distribution Date.

More Definitions of Transition Services Agreements

Transition Services Agreements means, collectively, the Cyclerion Transition Services Agreement and the Ironwood Transition Services Agreement, and each, individually, a “Transition Services Agreement.”

Transition Services Agreements means the Master General Transition Services Agreement, the Master Research and Development Transition Services Agreement and the Master Information Technology Transition Services Agreement, each to be dated on or prior to the Distribution Date and each between the members of the GroceryCo Group and the SnackCo Group named therein, each as may be amended or modified from time to time.

Transition Services Agreements means the Merck to Organon Transition Services Agreement and the Organon to Merck Transition Services Agreement to be entered into by and between Merck and Organon or their respective Subsidiaries in connection with the Separation, the Distribution or the other transactions contemplated by this Agreement.
