Services of Consultant. Consultant agrees to perform for Client the Services. As such Consultant will provide bona fide services to Client. The services to be provided by Consultant will not be in connection with the offer or sale of securities in a capital-raising transaction, and will not directly or indirectly promote or maintain a market for Client's securities.
Services of Consultant. Consultant shall perform the following professional services to City in conformance with applicable professional standards and in accordance with the degree of care and skill that a registered professional in Arizona would exercise under similar conditions:
Services of Consultant. 2.1 The Services that Consultant shall perform are more particularly described in Exhibit “A,” entitled “Scope of Services,” which is attached hereto and incorporated herein by reference.
Services of Consultant. Xxxxxxxx will assist the Company with matters relating to the Services. The Services are more fully described in Exhibit A attached hereto. Xxxxxxxx and the Company will review the Services on a monthly basis to prioritize and implement the tasks listed on Exhibit A.

Services of Consultant. Unless this Agreement is terminated as specified herein by reason of substantial failure of either party to fulfill its obligations under this Agreement, Consultant shall perform all services specified in this Agreement.
Services of Consultant. Consultant shall, in its sole discretion, provide consultancy and advisory services as a member of the XsunX Scientific Advisory Board under the title of Scientific Advisor. Notwithstanding the foregoing title Consultant shall remain an independent contractor. Consultant shall provide such services incident thereto as may be necessary from time to time which services shall include, without limitation, providing the Company with his best efforts and technical expertise in advising the Company in the areas of research & development, process development, planning, third party technical and resource requirements, analysis of research and development data, and the management of developing intellectual assets pertaining to the Business of XsunX and the XsunX Field of Use. Consultant is not a corporate officer or director of XsunX and will not be represented as such.
Services of Consultant. Xxxxxxxx will assist the Company with matters relating to the Services. The Services are more fully described in Exhibit A attached hereto. Xxxxxxxx and the Company will review the Services on a monthly basis to determine appropriate staffing requirements. Company shall have the right to request changes to the Danforth personnel at any time in writing. If Company makes a written request, Xxxxxxxx shall replace such personnel subject to the Company’s right of pre-approval.
Services of Consultant. 4.1 Upon the request of the Company, Consultant shall consult with and advise the Company with respect to matters concerning: (i) investor relations; (ii) dissemination of quarterly and annual reports as filed by the Company with the Securities and Exchange Commission; (iii) communications with analysts; and (iv) potential acquisitions. Said services shall not relate to any capital raising transaction.
