Consultant agrees to perform for the Client the Servicesall services and consulting related to targeting, contracting, and developing ecommerce, strategic alliances for Client, and investment banking relationships for Client. As such such, the Consultant will provide be providing bona fide services to the Client. The services to be provided by Consultant will not be in connection with the offer or sale of securities in a capital-raising transaction, and will not directly or indirectly promote or maintain a market for the Client's securities.

Services of Consultant. Consultant agrees to perform for Client all necessary services required in working to bring about the Serviceseffective Marketing of the Client's Wholesale Membership Program (See Attachment A). As such Consultant will provide bona fide services to Client. The services to be provided by Consultant will not be in connection with the offer or sale of securities in a capital-raising transaction, and will not directly or indirectly promote or maintain a market for Client's securities.

Consultant agrees to perform for the Client the Servicesall services and consulting related to investment banking, and is involved in securing strategic alliances and merchants for Client and or software related to all Client technology. Consultant also involved in merchant sign up, and bringing business partners to Client. As such such, Consultant will provide be providing bona fide services to Client. The services to be provided by Consultant will not be in connection with the offer or sale of securities in a capital-raising transaction, and will not directly or indirectly promote or maintain a market for the Client's securities.

Services of Consultant. Consultant agrees to perform for Client the Servicesall necessary services required in providing general business consulting and management advisory services for Client. As such Consultant will provide bona fide services to Client. As such Consultant will provide bona fide services Services to Client. The services Services to be provided by Consultant will not be in connection with the offer or sale of securities in a capital-raising transaction, and will not directly or indirectly promote or maintain a market for Client's securities.

Services of Consultant. Consultant agrees to perform for the Client all services and consulting related to targeting, contracting, and developing strategic alliances for Client in regards to the Servicesinclusion of Client's technologies in different eCommerce devices and the development of the smart card aspect of the eCashPad as it relates to strategic alliances. As such such, Consultant will provide be providing bona fide services to the Client. The services to be provided by Consultant will not be in connection with the offer or sale of securities in a capital-raising transaction, and will not directly or indirectly promote or maintain a market for the Client's securities.

Services of Consultant. Consultant agrees to perform for the Client all services and consulting related to the Servicesgeneral operation of Client organization and in the promotion of sales of client services to the health care industry. As such such, Consultant will provide be providing bona fide services to Client. The services to be provided by Consultant will not be in connection with the offer or sale of securities in a capital-raising transaction, and will not directly or indirectly promote or maintain a market for the Client's securities.
