Sanofi Know-How definition

Sanofi Know-How means all Know-How that is Controlled by Sanofi or its Affiliates as of the Effective Date or during the Term and is necessary for the Development, manufacture and/or Commercialization of a Licensed Product. [***].
Sanofi Know-How means all Information Controlled, as of the Effective Date or any time thereafter before expiration or termination of this Agreement, by Sanofi or any of its Affiliates that is necessary for (or was actually used in) the Development or Commercialization (including the research, development, manufacture, having manufactured, use, importation, exportation, registration, offer for sale or sale) of Compounds or Products, including any such Information made or generated by or on behalf of Sanofi or any of its Affiliates or sublicensees in the course of performing Sanofi’s obligations or exercising Sanofi’s rights under this Agreement, excluding rights under any Sanofi Patents and Sanofi’s interests in Joint Patents and Joint Inventions.
Sanofi Know-How means all Information that (a) is Controlled by Sanofi or any of its Affiliates as of the Effective Date or during the Term and (b) is necessary or useful for the Development, Manufacture, use or Commercialization of Product in the Field, expressly excluding any Know-How pertaining to the Manufacture of Insulin.

  • Promptly following the Effective Date, Sanofi shall take and cause to be taken such actions and execute such documents that are requested in writing by Lumena to the extent necessary to transfer to Lumena all Regulatory Materials within the Sanofi Know-How.

More Definitions of Sanofi Know-How

Sanofi Know-How means (i) all documents and materials listed on Exhibit 1.39 or not listed but subsequently provided by Sanofi or its Affiliates to Lumena, and in each case, the Information Controlled by Sanofi or its Affiliates contained or embodied in such documents and materials, (ii) the Initial Manufacturing Know-How which Sanofi provides to Lumena in accordance with Section 4.2, and (iii) all Information generated by Lumena under the MTA which is owned by Sanofi or its Affiliates pursuant to the terms of such MTA. For clarity, the Sanofi Know-How does not include any Sanofi Manufacturing Know-How or other Information not contained or embodied in the documents and materials listed on Exhibit 1.39, including Information contained in any document referred to or cited in a document listed on Exhibit 1.39 (unless such Information is also contained in a document listed on Exhibit 1.39).
Sanofi Know-How means any and all Know-How now or hereafter during the term of the Discovery Program or the Collaboration owned by, licensed to or otherwise held by Sanofi or its Affiliates (other than Regeneron Know-How and Know-How included in Joint Inventions) with the right to sublicense the same that relate to a Licensed Product in the Field and are necessary or useful for the Development, Manufacture or Commercialization of a Licensed Product in the Field, including, without limitation, New Information.
Sanofi Know-How means any and all Know-How as of the Original Agreement Effective Date or thereafter during the term of the Discovery Program (including the Tail Period) owned by, licensed to or otherwise held by Sanofi or any of its Affiliates (other than Regeneron Know-How and Know-How included in Joint Inventions) with the right to sublicense the same necessary or useful for the performance of the Discovery Program.
Sanofi Know-How means all Information and Inventions Controlled by Sanofi or any of its Affiliates during the Term that are (i) developed by Sanofi or any of its Affiliates or its or their Sublicensees under this Agreement or (ii) Information and Inventions other than those described in the foregoing clause (i) that are used by Sanofi or any of its Affiliates or its or their Sublicensees for the Exploitation of Licensed Product(s) after the Effective Date and during the Term, but in the case of clause (ii) shall exclude Know-How specifically related to any device, device technology or active pharmaceutical ingredients other than the Licensed Compounds; provided that Sanofi Know-How excludes Joint Know-How.
Sanofi Know-How means any and all Know-How owned or Controlled by Sanofi as of the Effective Date or during the Term, including Sanofi Collaboration Know-How, but excluding any Joint Collaboration Know-How.

Sanofi Know-How means, subject to Section 13.8(b), (i) with respect to the license granted to Rib-X and its Affiliates under Section 4.1.2, any Know-How Controlled by Sanofi or any of its Affiliates as of the Effective Date or at any time arising from activities performed by Sanofi or any of its Affiliates or Sublicensees under the Research Plan during the Research Term which are used by Sanofi or any of its Affiliates or permitted Sublicensees in the identification, development, manufacture, use or sale of RX04 Compounds; and (ii) with respect to the licenses granted to Rib-X under Section 4.2.2, 4.2.3 and 11.3.1 as to a specific US Profit Share Product, Licensed Product or Returned Compound, any Know-how Controlled by Sanofi or any of its Affiliates during the Term and incorporated into such US Profit Share Product, Licensed Product or Returned Compound, as the case may be, or its manufacturing process or which has been generated or applied in a substantial way by Sanofi or any of its Affiliates or Sublicensees in the development, manufacture, use or commercialization of such US Profit Share Product, Licensed Product or Returned Compound, as the case may be, or that relates to the composition of matter or a use of any such US Profit Share Product, Licensed Product or Returned Compound, as the case may be.
