Manufacturing Know-How definition
Manufacturing Know-How means all information, techniques, inventions, discoveries, improvements, practices, methods, knowledge, skill, experience and other technology, whether or not patentable or copyrightable, and any copyrights based thereon, relating to or necessary or useful for the production, purification, packaging, storage and transportation of Collaboration Products, including without limitation specifications, acceptance criteria, manufacturing batch records, standard operating procedures, engineering plans, installation, operation and process qualification protocols for equipment, validation records, master files submitted to the FDA, process validation reports, environmental monitoring processes, test data including pharmacological, toxicological and clinical test data, cost data and employee training materials.
Manufacturing Know-How means, with respect to the Product or any Variant thereof, the technology, data, designs, processes, methods, specifications and other know-how used in connection with the formulation, manufacture, labeling, packaging, quality control, release testing, and production of the Product, and all ingredients used therein and portions thereof.
Manufacturing Know-How means any Know-How Controlled by ▇▇▇▇▇▇▇ or any Affiliate thereof as of the Effective Date, or which comes under the Control of ▇▇▇▇▇▇▇ or any Affiliate thereof after the Effective Date, which is necessary for the manufacture of Compound or Licensed Product, including but not limited to processes therefor which ▇▇▇▇▇▇▇ or an Affiliate thereof has developed or acquired Control thereof.

In addition, the Parties agree and acknowledge that, in all cases, all BMS Contributed Collaboration Technology, BMS Contributed Collaboration Inventions, BMS Sole Inventions, BMS Manufacturing Know-How (to the extent any is disclosed to Avidity), and the identity of the Licensed Targets are the Confidential Information of BMS, and the Avidity AOC Platform Technology and the Avidity Manufacturing Process are the Confidential Information of Avidity.

Manufacturing Know-How means all data, information and materials relating to the manufacture of the Product that is not included in the Know How.
