Manufacturing Know-How definition

Manufacturing Know-How means all information, techniques, inventions, discoveries, improvements, practices, methods, knowledge, skill, experience and other technology, whether or not patentable or copyrightable, and any copyrights based thereon, relating to or necessary or useful for the production, purification, packaging, storage and transportation of Collaboration Products, including without limitation specifications, acceptance criteria, manufacturing batch records, standard operating procedures, engineering plans, installation, operation and process qualification protocols for equipment, validation records, master files submitted to the FDA, process validation reports, environmental monitoring processes, test data including pharmacological, toxicological and clinical test data, cost data and employee training materials.

Manufacturing Know-How means any Know-How Controlled by Xxxxxxx or any Affiliate thereof as of the Effective Date, or which comes under the Control of Xxxxxxx or any Affiliate thereof after the Effective Date, which is necessary for the manufacture of Compound or Licensed Product, including but not limited to processes therefor which Xxxxxxx or an Affiliate thereof has developed or acquired Control thereof.

Manufacturing Know-How means all information, techniques, practices, methods, knowledge, skill and data, which are not generally known including, but not limited to, a proprietary "trade secret" or other Intellectual Property Right, whether or not patentable or copyrightable, relating to or useful for the production, assembly, manufacture, storage and/or transport of the ATS Nutrient Solution.

• Except as otherwise expressly provided in this Agreement, under no circumstances shall a Party hereto, as a result of this Agreement, obtain any ownership interest in or other right to the Patent Rights, Technology or Manufacturing Know-How of the other Party, including items owned, controlled or developed by the other Party, or transferred by the other Party to said Party at any time pursuant to this Agreement.

• For the purpose of clarity, any transfer of Information under this Section shall not include Manufacturing Know-How.

• All of the fuel−burning appliances in the building are of a sealed−combustion type and are covered by the manufacturers’ warranties against defects.

• Following the expiration of such licenses in the Territory, the licenses granted in Section 2.1 with respect to Licensed Manufacturing Know-How will be fully paid-up and perpetual.

More Definitions of Manufacturing Know-How

Manufacturing Know-How means all data, information and materials relating to the manufacture of the Product that is not included in the Know How.
