Collaboration Know-How definition

Collaboration Know-How means Know-How that is within the Collaboration Intellectual Property.
Collaboration Know-How means all Biogen Idec Collaboration Know-How, Sunesis Collaboration Know-How and Joint Collaboration Know-How.
Collaboration Know-How means all ideas, Inventions, data, instructions, processes, formulas, expert opinions and information, including biological, chemical, pharmacological, toxicological, pharmaceutical, physical and analytical, clinical, safety, manufacturing and quality control data and information developed solely or jointly by or on behalf of Editas and/or Juno in the course of activities conducted pursuant to the Research Program.

Examples of Collaboration Know-How in a sentence

  • During the Term, the Parties shall promptly disclose to one another all Collaboration Know-How (whether patentable or not).

  • Sunesis shall assign and hereby assigns to Biogen Idec a joint ownership interest in and to the Joint Collaboration Patents and the Joint Collaboration Know-How.

  • Biogen Idec shall assign and hereby assigns to Sunesis a joint ownership interest in and to the Joint Collaboration Patents and the Joint Collaboration Know-How.

  • During the Term, the Parties will promptly disclose to one another all Collaboration Know-How (whether patentable or not).

  • All Synthesized Compounds and Collaboration Derivatives that are included in Joint Collaboration Know-How shall be jointly owned by the Parties, subject to the licenses granted under Article 6.


More Definitions of Collaboration Know-How

Collaboration Know-How has the meaning set forth in Section 10.1.1.
Collaboration Know-How means any Know-How developed or invented during the Term by a Party’s or its Affiliates’, licensees’, Sublicensees’, or SubcontractorsRepresentatives, or any Persons contractually required to assign or license such Know-How to a Party or any Affiliate of a Party, either alone or jointly with the other Party’s or its Affiliates’, licensees’, Sublicensees’, or Subcontractors’ Representatives, or any Persons contractually required to assign or license such Know-How to the other Party or any Affiliate of the other Party, in each case, in the performance of activities under this Agreement, including all Product Invention Know-How.
Collaboration Know-How means all Know-How and Materials discovered, created, conceived, developed or reduced to practice in the course of performing activities under the Collaboration Program (whether solely by one Party or jointly by the Parties, in each case with their Affiliates or any Third Parties or any employees, consultants or agents of any of the foregoing which perform activities under the Collaboration Program).
Collaboration Know-How means any and all tangible or intangible know-how, trade secrets, inventions (whether or not patentable), data, preclinical results, physical, chemical or biological material, and other information and data that are (a) useful for purposes of the Collaboration and/or that relates to any Collaboration Target/Chemistry (including any Target/Chemistry that was formerly a Selected Target/Chemistry), Allergan Product or ACADIA Product and (b) derived from or developed pursuant to activities undertaken by either party, including their consultants or collaborators, in the conduct of the Collaboration, including, in each case, any replication or any part of such information or material.
Collaboration Know-How means EISAI Collaboration Know-How and EPIZYME Collaboration Know-How.
Collaboration Know-How means Isis Collaboration Know-How and Lilly Collaboration Know-How.
