Exchange Documents definition

Exchange Documents shall have the meaning set forth in Section 3.2.

Exchange Documents means the Exchange Note Indenture and the Exchange Notes.

Examples of Exchange Documents in a sentence

• Notwithstanding anything to the contrary herein, no amounts payable hereunder shall be distributed in respect of any Class B Units unless and until the holder thereof shall have properly completed, executed and delivered the Exchange Documents (as defined below) in accordance with this Agreement.

• Notwithstanding anything to the contrary herein, no amounts payable hereunder shall be distributed in respect of any Preferred Units unless and until the holder thereof shall have properly completed, executed and delivered the Exchange Documents (as defined below) in accordance with this Agreement.

• No Acquiror Common Stock shall be issued or issuable, and no cash shall be paid or payable, to any Exchange Securityholder until such Person delivers to the Exchange Agent duly completed and validly executed Exchange Documents, in accordance with the terms and conditions hereof and the instructions set forth in the Exchange Documents.

• Notwithstanding anything to the contrary herein, no amounts payable hereunder shall be distributed in respect of any Class B-2 Units unless and until the holder thereof shall have properly completed, executed and delivered the Exchange Documents (as defined below) in accordance with this Agreement.

More Definitions of Exchange Documents

Exchange Documents shall have the meaning assigned to it in Section 1.8(d).

Exchange Documents means this Agreement, the Note, the Warrants and each of the other agreements and instruments entered into by the parties hereto in connection with the transactions contemplated hereby and thereby.

Exchange Documents means this Agreement and any other documents to be executed and delivered in connection with the consummation of the Exchange Offer.
