Public Filings definition

Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.
Public Filings has the meaning set forth in Section 4.01(a)(xiv).
Public Filings shall have the meaning set forth in Section 6.2(d).

Examples of Public Filings in a sentence

  • The Public Filings do not include any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein not misleading.

  • The documents filed by the Company (the "Public Filings") with the Commission at the time they were filed with the Commission, complied in all material respects with the requirements of the 1933 Act, the Securities Exchange Act of 1934, as amended (the "1934 Act"), and the rules and regulations promulgated thereunder, as applicable.

  • The interactive data in eXtensible Business Reporting Language included or incorporated by reference in the Relevant Public Filings fairly present the information called for in all material respects and have been prepared in accordance with the Commission’s rules and guidelines applicable thereto.

  • As of the date of this Agreement, the Company does not have any outstanding debt for borrowed money, other than as disclosed in the Public Filings (as defined below).

  • The selected financial data and the summary financial information included in the Relevant Public Filings present fairly the information shown therein and have been compiled on a basis consistent with that of the audited financial statements included in the Relevant Public Filings.


More Definitions of Public Filings

Public Filings means the Borrower’s filings with the Securities and Exchange Commission on Form 10-K for the year ending December 31, 2012, on Form 10-Q for the quarters ending March 31, 2013 and June 30, 2013 and on Form 8-K at any time after June 30, 2013 and at least five Business Days prior to the Closing Date.
Public Filings has the meaning ascribed thereto in Section 5.01(xii).
Public Filings is defined in Section 5.3.
Public Filings means TWC's, NWP's, TGPL's and TGT's respective annual reports on Form 10-K for the year ended December 31, 1996, and TWC's, NWP's, TGPL's and TGT's respective quarterly reports on Form 10-Q for the quarter ended March 31, 1997.
Public Filings means, collectively, (i) the Company’s annual report on Form 10-K for the year ended December 31, 2020 (including any information incorporated by reference therein), (ii) the Company’s quarterly reports on Form 10-Q for the quarters ended March 31, 2021, June 30, 2021 and September 30, 2021, and (iii) the current reports on Form 8-K filed (but not furnished) by the Company since January 1, 2021.
Public Filings means any 10-K, 10-Q or 8-K, S-1 or S-4 filed by the Parent, in each case with the SEC after December 31, 2017 and on or before the Effective Date.
