Definition of Debt Financing Documents

  1. Debt Financing Documents means the credit agreement, loan documents, purchase agreements, indentures, notes and security documents pursuant to which the Debt Financing (including any Alternative Financing) will be governed or contemplated by the Debt Commitment Letter.

PATRIOT Act of 2001; and (d) customary agreements, documents or certificates that facilitate the creation, perfection or enforcement of Liens securing the Debt Financing contemplated by the Debt Commitment Letter as are reasonably requested by Parent or its Financing Sources; provided, that, for the avoidance of doubt, neither the Company nor any Company Subsidiary shall be required to execute any Debt Financing Document prior to Closing that is not expressly conditioned upon the consummation of the Merger and that does not terminate without liability to the Company or any of its Affiliates upon the termination of this Agreement.
