Except as disclosed in the Public Disclosure Documents, and to the knowledge of the Company, none of the directors or officers of the Company is now, or has been in the ten years prior to the date hereof, subject to an order or ruling of any securities regulatory authority or stock exchange prohibiting such individual from acting as a director or officer of a public company or of a company listed on a particular stock exchange.
There exist no options, warrants, purchase rights, or other contracts or commitments that could require the Company to sell, transfer, encumber or otherwise dispose of any capital stock or assets of the Subsidiaries, except as disclosed in the Public Disclosure Documents.
Except as disclosed in the Public Disclosure Documents and usual employee or consulting arrangements made in the ordinary and normal course of business, neither the Company nor the Material Subsidiaries is a party to any material contract, agreement or understanding with any officer, director, employee or securityholder of any of them or any other person not dealing at arm’s length with the Company and the Material Subsidiaries.
