The Company further represents and warrants that any projections or other information provided by any Registrant (as defined below) or its representatives to the Representative or contained in any Business Combination Securities Disclosure Document will have been prepared in good faith and will be based upon assumptions which, in light of the circumstances under which they are made, are reasonable.
In the event that the Disclosure Document is required to be revised prior to the sale of all Securities, Borrower will cooperate with the holder of the Note, at such holder’s expense, in updating the Disclosure Document by providing all current information necessary to keep the Disclosure Document accurate and complete in all material respects.

The Company agrees promptly to notify the Representative of the commencement of any litigation or proceedings against the Company or any of its officers, directors or controlling persons in connection with the issue and sale of the Public Securities or in connection with the Preliminary Prospectus, the Registration Statement or the Prospectus, or any Business Combination Securities Disclosure Document.
The Company shall not permit the filing with or furnishing by the Company to the Commission of any Business Combination Securities Disclosure Document, or the issuance of any press release or the publication of any other communication in any form if such communication relates to the Business Combination, without the prior written consent of the Representative, which consent shall not unreasonably be withheld, delayed or conditioned.
