DIP Documents definition

DIP Documents means “DIP Documents” as defined in the DIP Order.

DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

DIP Documents means, collectively, the DIP Credit Agreement and any and all other agreements, documents, and instruments delivered or entered into in connection therewith, including any guarantee agreements, pledge and collateral agreements, intercreditor agreements, and other security documents (including any amendments, restatements, supplements, or modifications of any of the foregoing), which shall be in form and substance acceptable to the DIP Lenders, the Sponsors, and the Debtors.

Examples of DIP Documents in a sentence

• As of the expiration of the Challenge Period (as defined in the Interim DIP Order), there shall be no pending challenge or contest to the validity, amount, perfection or priority of the DIP Documents, the Loan Documents or other Claims of Buyer or Administrative Agents (as applicable) thereunder that would prevent Xxxxx’s credit bid, unless any such challenge or contest shall have been resolved to the reasonable satisfaction of Buyer in its sole discretion.

• For the avoidance of doubt, nothing herein shall limit the Administrative Agents’ or Xxxxxxx’ right to obtain reimbursement of their reasonable and documented out-of-pocket fees and expenses under the Interim DIP Order, Final DIP Order, DIP Documents or Loan Documents, all in accordance with the terms set forth therein.

• The DIP Documents shall have each been approved by the Bankruptcy Court pursuant to the Final DIP Order, which shall be in form and substance acceptable to Buyer.

DIP Documents means, collectively, the DIP Credit Agreements and any and all other agreements, documents, and instruments delivered or entered into in connection therewith, including any guarantee agreements, pledge and collateral agreements, intercreditor agreements, and other security documents.

DIP Documents means the “Loan Documents” as defined in the DIP Agreement, in each case as amended, amended and restated, supplemented or otherwise modified from time to time in accordance with the terms thereof prior to the Effective Date.

DIP Documents means the DIP Credit Agreement and any amendments, modifications, or supplements thereto, as well as any all agreements, documents, and instruments (including any amendments, restatements, supplements, or modifications of any of the foregoing) delivered or executed in connection the DIP Credit Agreement, and the DIP Backstop Agreement.

DIP Documents means the DIP Facility Term Sheet and all related agreements, documents, and instruments executed in connection with the DIP Facility Term Sheet and authorized or approved by the DIP Orders, each as may be amended, modified, or supplemented from time to time.

DIP Documents means the DIP Orders, the DIP Motion, the DIP Credit Agreement, any guaranty or intercreditor agreements related thereto, any collateral and security documentation related thereto, and any ancillary documentation related thereto.

DIP Documents means the DIP Credit Agreement and any other agreements and documents executed in connection with or related thereto.

DIP Documents means, collectively, the DIP Term Sheet, the DIP Order, and all other agreements, documents, and instruments related thereto, including any guaranty agreements, pledge and collateral agreements, intercreditor agreements, and other security agreements, as may be amended, modified, restated, or supplemented from time to time.
