DIP Documents definition

DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.
DIP Documents means “DIP Documents” as defined in the DIP Order.
DIP Documents means, collectively, the DIP Credit Agreements and any and all other agreements, documents, and instruments delivered or entered into in connection therewith, including any guarantee agreements, pledge and collateral agreements, intercreditor agreements, and other security documents.

  • The DIP Lenders are entitled to be indemnified and held harmless for certain liabilities, obligations, losses, damages, penalties, actions, judgments, suits, costs, expenses or disbursements with respect to the execution, delivery, enforcement, performance, preservation of rights and administration of the DIP Documents, and to other indemnification provisions as more particularly described in the DIP Agreement.

  • In the event of any inconsistency between the terms and conditions of the DIP Documents and this Final Order, the provisions of this Final Order shall govern and control.28.

  • The DIP Agent and DIP Lenders shall have no obligation to make any loan or advance under the DIP Documents, unless all of the conditions precedent to the making of such extension of credit under the DIP Documents and this Final Order have been satisfied in full or waived by the DIP Lenders in their sole discretion.

DIP Documents means the DIP Credit Agreement and any amendments, modifications, or supplements thereto, as well as any all agreements, documents, and instruments (including any amendments, restatements, supplements, or modifications of any of the foregoing) delivered or executed in connection the DIP Credit Agreement, and the DIP Backstop Agreement.
