Securitization Documents definition

Securitization Documents means all documentation relating to any Permitted Securitization.
Securitization Documents means any note purchase agreement (and any notes issued thereunder), transfer or security document, master trust or other trust agreement, servicing agreement, indenture, pooling agreement, contribution or sale agreement or other document, instruments and certificates executed and delivered, subject to the terms of this Agreement, to evidence or secure (or otherwise relating to) a Permitted Securitization, as the same may be amended from time to time (subject to the terms hereof) and any and all other documents executed in connection therewith or replacement or renewal thereof.
Securitization Documents means the Credit and Security Agreement, the Sale Agreement and the other Transaction Documents (as defined in the Credit and Security Agreement).

Examples of Securitization Documents in a sentence

  • For purposes of the Securitization Documents, the "material terms and conditions" thereof shall be deemed solely those terms or conditions with respect to servicer fees, servicer expenses, defaults, events of default, recourse to the Company or any Subsidiary (other than a Special Purpose Subsidiary), Cleanup Calls or conditions contained therein which are required under or necessary for compliance with this Agreement.

  • Once executed and delivered pursuant to a Permitted Securitization, the Company covenants that it will not permit the "pertinent terms, conditions or provisions" of the Securitization Documents to be waived, amended, modified or otherwise altered in any material respect adverse to the Company or any Restricted Subsidiary or Special Purpose Subsidiary without the prior written approval of the Required Holders.

  • Borrower’s obligation pursuant to the previous sentence shall include, without limitation, payment to (or reimbursement of) any compensation payable by the holder of the Loan to any servicing agent under a Secondary Market Transaction pursuant to the Securitization Documents (as defined herein) if such payment becomes due solely by reason of the existence and continuance of any Event of Default.

  • No event or condition exists which constitutes a Servicer Default or other similar event permitting the termination of the servicer under any of the Company Securitization Documents (a “Servicer Default or Termination”).

  • Each Lender shall pay its pro rata share, based on its -------- Specified Percentage, of any expenses paid by the Administrative Lender directly and solely in connection with any of the Loan Documents and/or the Securitization Documents if Administrative Lender does not receive reimbursement therefor from other sources within 60 days after the date incurred.


More Definitions of Securitization Documents

Securitization Documents have the meaning set forth in Section 2.6(a)(v).
Securitization Documents means, collectively, all agreements, documents, instruments and certificates executed and delivered in connection with any Securitization Transaction.
Securitization Documents means each of the documents delivered in connection with any Securitization Transaction, including but not limited to, pooling and servicing agreements, indentures, trust agreements, mortgage loan purchase agreements, asset sale agreements, servicing agreements, indemnification agreements, insurance agreements, insurance policies, underwriting agreements, placement agency agreements, certificate purchase agreement, note purchase agreements, subscription agreements, rating letters, opinions of counsel and related closing documents or certifications.
Securitization Documents means all documentation relating to any Permitted Receivables Securitization.
Securitization Documents means any transfer or security document, master trust or other trust agreement, servicing agreement, indenture, pooling agreement, or contribution or sale agreement executed and delivered, subject to the terms of this Agreement, to effect a transfer of financial assets in connection with or to secure (or otherwise relating to) a Permitted Securitization, as the same may be amended from time to time (subject to the terms hereof) and any and all other documents executed in connection therewith or replacement or renewal thereof.
Securitization Documents means the Receivables Purchase Agreement, the Pooling and Servicing Agreement and each other document designated as such on Schedule 1.1(h).
Securitization Documents means the Securitization Indenture, the Enhancement Agreements, the Management Agreement, each other Related Document (as defined in Appendix A to the Securitization Indenture) and each other agreement, document or instrument executed in connection with the Securitization Indenture.
