Owner Confidential Information definition

Owner Confidential Information has the meaning given in clause 14.1(a)(xii).
Owner Confidential Information means all information of the Owner that is of a confidential nature, including all confidential information in the custody or control of the Owner, regardless of whether it is identified as confidential or not, and whether recorded or not, and however fixed, stored, expressed or embodied, which comes into the knowledge, possession or control of the Consultant in connection with the Contract. For greater certainty, Owner Confidential Information shall: (a) include: (i) all new information derived at any time from any such information whether created by the Owner, the Consultant or any third- party; (ii) all information (including Personal Information) that the Owner is obliged, or has the discretion, not to disclose under provincial or federal legislation or otherwise at law; but (b) not include information that: (i) is or becomes generally available to the public without fault or breach on the part of the Consultant of any duty of confidentiality owed by the Consultant to the Owner or to any third-party; (ii) the Consultant can demonstrate to have been rightfully obtained by the Consultant, without any obligation of confidence, from a third- party who had the right to transfer or disclose it to the Consultant free of any obligation of confidence; (iii) the Consultant can demonstrate to have been rightfully known to or in the possession of the Consultant at the time of disclosure, free of any obligation of confidence when disclosed; or (iv) is independently developed by the Consultant; but the exclusions in this subparagraph shall in no way limit the meaning of Personal Information or the obligations attaching thereto under the Contract or at law;
Owner Confidential Information means any information of the Owner which is supplied, or to which access is granted, to the Design-Builder (whether before or after the Effective Date), either in writing, or in any other form, directly or indirectly pursuant to, or in connection with, this Agreement and includes the Disclosed Data, the Submittals and all analyses, compilations, studies and other documents whether prepared by or on behalf of the Owner or the Design- Builder which contain or otherwise reflect or are derived from such information;

More Definitions of Owner Confidential Information

Owner Confidential Information means confidential or proprietary information relating to Owner’s or any of its Affiliates’ businesses that derives value, actual or potential, from not being generally known to others (a) specifically designated by Owner in writing as confidential or proprietary or (b) would by its nature reasonably be understood to be confidential or proprietary to Owner or any of its Affiliates, in each case to which Manager obtains access by virtue of the relationship between the Parties; provided that “Owner Confidential Information” shall not include Managed Facilities Guest Data.

ARP Developer will immediately notify GSFA, orally and in writing, of any actual or suspected misuse, misappropriation or unauthorized disclosure of Owner Confidential Information. Finally, ARP Developer agrees, upon written request, to return to GSFA or destroy any Owner Confidential Information obtained or received by Developer.
Owner Confidential Information shall be deemed to include all information concerning the Property and the Owner (whether prepared by the Owner, its Representatives or otherwise and irrespective of the form of communication) which is furnished to the Manager or Representative (as defined below) of the Manager (collectively, the "Management Group") now or in the future by the Owner or by its Representatives, together with all notes, analyses, compilations, studies, interpretations or other documents prepared by any member of the Management Group which contain, reflect or are based upon, in whole or in part, the information furnished to any member of the Management Group pursuant hereto. The term "Owner Confidential Information" shall also include the Required Information (as defined below), but does not include the Proprietary Information (as defined below), information which is or becomes generally available to the public other than as a result of a disclosure in violation of this Agreement by any member of the Management Group.
