Keep Confidential definition
Keep Confidential means not disclosing, using, publishing, communicating, copying, duplicating, causing to be communicated or making available, or any attempt to facilitate or permit these acts to persons who are not parties to this Agreement, except in accordance with this Agreement and unless otherwise agreed in writing by the Parties.
Keep Confidential means safeguarding the content of information including video, audio, and/or computer stored information from unauthorized disclosure without the specific informed consent of the client, parent of a minor child, or legal guardian, and consistent with the advocate’s right of access. Keep Confidential means that none of the parties to this Agreement will, directly or indirectly, discuss, disclose, divulge, reveal, report, publish, or transfer to any other persons or entities the terms of this Lease; provided, however, that the following disclosure shall not be deemed in violation hereof: (a) disclosure to a court of competent jurisdiction of the terms of this Agreement for the purposes of enforcement thereof, or pursuant to a final and binding court order compelling disclosure thereof; (b) disclosure to the parties’ certified public accountants, attorneys, and governmental authorities as may be required by laws, on the condition that they maintain the confidentiality hereof to the extent permitted by laws; and (c) disclosure pursuant to a duly issued court order or subpoena. After cure, Purchaser may again submit a written request for Restoration Notice to be issued. Purchaser's obligations contained in this paragraph shall survive the Closing or other termination of this Contract.
