Confidential Nature. (a) The International Bureau and the Interna- tional Searching Authority shall not, unless requested or authorized by the applicant, allow access by any person or authority before the expiration of 30 months from the priority date:
Confidential Nature. Confidential Nature. Each party, as a receiving party, acknowledges that the Confidential Information of the disclosing party is valuable and confidential proprietary information of the disclosing party, and that the value of the Confidential Information derives at least in part from its confidential status.
Confidential Nature. During the course of this relationship, ------------------- the parties may disclose to the other certain confidential information orally, in writing or through facility visits, which information may include, but is not limited to, financial information or projections; lists of and information about agents, vendors, suppliers, dealers, customers, potential customers, and statistical and financial information associated therewith; specifications and uses of products and services; product research; sales, marketing and strategic plans; pricing policies; products and availability information; and information otherwise defined as "trade secrets" under the Uniform Trade Secrets Act of California (collectively, "Confidential Information"); provided, however, that Confidential Information does not include information that can be documented as being known within the industry prior to the Effective Date or information that becomes publicly available thereafter through no breach of this Agreement by any party hereto. The parties have maintained and will continue to maintain the Confidential Information as their own private, proprietary and confidential information and as their business trade secrets. Sometimes this information may be stamped "Trade Secret," "Confidential," or with a similar designation, but failure to do so will not in and of itself impair the classification of information as Confidential Information.
Confidential Nature. The parties acknowledge that all of the terms and conditions of this Agreement are of a confidential and sensitive nature and shall be disclosed or divulged to any third party whatsoever only to the extent required by any applicable requirement of law.
Confidential Nature. The Participant acknowledges and agrees that the nature and terms of this Award Agreement are confidential, and expressly agrees not to discuss or disclose them, or the facts and contentions contained therein, without the prior written consent of the Company, with or to any person, except to the Internal Revenue Service, state tax authorities, the Participant’s accountant, financial, or tax advisor, the Participant’s attorneys, the Participant’s immediate family, or as required by law, subpoena or governmental or regulatory investigation or as reasonably necessary in connection with any litigation with the Company; provided, that to the extent the Participant is asked to disclose any confidential information in connection with a subpoena or governmental or regulatory investigation, the Participant will, to the extent permitted by law, provide notice to the Company and cooperate with the Company to limit such disclosure.
Confidential Nature. As used in this agreement, “Confidential Information” means, collectively:
Confidential Nature. Prospective Purchaser agrees that the Seller considers its Information confidential because the Seller has developed the Information, because it may be proprietary, because it has received the Information subject to a continuing obligation to maintain the confidentiality of the Information, or because of other reasons. The Prospective Purchaser agrees that the Seller shall have the right to determine, in its sole judgment, what Information, if any, it shall provide to the Prospective Purchaser.
Confidential Nature. Audit results, including information and documentation disclosed or made available to the Company in the course of any such audit shall be deemed the Confidential Information and treated as such.
Confidential Nature. The Employee understands that business developments of the Company may be highly sensitive and release of non-publicly disclosed information to persons or others not directly authorized by the Company could be very damaging. Therefore, the Employee guaranties secrecy in all matters disclosed to and learned by the Employee through the course of employment. Failure to maintain secrecy in all matters, as required by the Company, shall be cause for immediate termination and a waiver of an benefits and entitlements of the Employee referred to in this Agreement, without hearing or legal action. It is further agreed that if the Company's stock becomes publicly traded, the Employee shall seek and obtain a favorable legal opinion from counsel for the Company prior to trading in the stock of the Company for the individual account of the Employee. Except as instructed by the Company or as needed as a normal course of business, the Employee shall not divulge secrets of the Company, including by way of example, but not limited to the forgoing: a) whom the Company may be negotiating with to sell or license its products, b) details of products that are not yet protected by patent laws, c) other matters that may negatively impact the Company, if disclosed, etc.
