Customer Confidential Information definition

Customer Confidential Information means any information disclosed (whether disclosed in writing, orally or otherwise) by the Customer to the Provider that is marked as “confidential”, described as “confidential” or should have been understood by the Provider at the time of disclosure to be confidential;

Customer Confidential Information means Confidential Information of the Customer provided to Computershare.

Customer Confidential Information shall have the meaning given such term in Section 11.1 hereof.

Examples of Customer Confidential Information in a sentence

• Customer Confidential Information shall include Customer Data; Copado Confidential Information shall include, without limitation, the Services, the source code, and the data schema; and Confidential Information of each party shall include the terms and conditions of this Agreement and all Order Forms, as well as business and marketing plans, technology and technical information, product plans and designs, and business processes disclosed by such party.

• Aircall will not be responsible for any use, disclosure, modification or deletion of Customer Data and/or Customer Confidential Information that is transmitted to, or accessed by, an Integration.

• We shall not be prohibited or enjoined from using Residual Knowledge, other than Customer Materials and Customer Confidential Information, for any purpose, including providing services to other customers.

• SISW will prevent the disclosure and protect the confidentiality of Customer Confidential Information by using the same means it uses to protect its own confidential information, but in any event not less than reasonable means.

• Notwithstanding the foregoing, CGT shall be permitted to disclose information regarding Customer, including Customer Confidential Information, to Vendor.

More Definitions of Customer Confidential Information

Customer Confidential Information means any information shared by Customer with SISW under this Agreement concerning Customer’s business that has not been made public, provided that such information has been marked or otherwise identified as confidential at the time of disclosure or consists of information that, by its context, is sufficient to put SISW on notice of its confidential nature. SISW will prevent the disclosure and protect the confidentiality of Customer Confidential Information by using the same means it uses to protect its own confidential information, but in any event not less than reasonable means. Customer’s Confidential Information will not be disclosed by SISW to any third party, other than to its employees, its affiliated companies, its consultants, agents, and contractors, without the prior written consent of Customer.

Customer Confidential Information means all the customer identifying data however collected or received, including without limitation, through “cookies” or non-electronic means pertaining to or identifiable to a Fund’s Shareholders, prospective shareholders and plan administrators (collectively, “Fund Customers”), including without limitation, (i) name, address, email address, passwords, account numbers, personal financial information, personal preferences, demographic data, marketing data, data about securities transactions, credit data or any other identification data; (ii) any information that reflects the use of or interactions with a Fund service, including the Trust’s web site; or (iii) any data otherwise submitted in the process of registering for a Fund service. For the avoidance of doubt, Customer Confidential Information shall include all “nonpublic personal information,” as defined under the Xxxxx-Xxxxx-Xxxxxx Act of 1999 (Public Law 106-102, 113 Stat. 1138) (“GLB Act”) and all “personal information” as defined in the Massachusetts Standards for the Protection of Personal Information, 201 CMR 17.00, et seq., (“Mass Privacy Act”). This Agreement shall not be construed as granting the Transfer Agent any ownership rights in the Customer Information.

Customer Confidential Information means any information or compilation of information, not generally known, which is provided to the Company Parties by their customers or potential customers, is proprietary to the customer or potential customer and relates to the customer’s or potential customer’s existing or reasonably foreseeable business. Information provided to a Company Party by a customer or potential customer shall be treated as Customer Confidential Information.

Customer Confidential Information means any information disclosed by or on behalf of the Customer to the Provider during the Term (whether disclosed in writing, orally or otherwise) that at the time of disclosure:

Customer Confidential Information means all data, customer lists, financial information and sales and marketing plans of Customer. “EasyHRweb Confidential Information” shall mean (i) technical information, data or other proprietary information relating to the Software and the System (including all source codes, object codes, software programs, computer processing systems and techniques employed or used by EasyHRweb, and any related items such as specifications, layouts, flow charts, manuals, instruction books and training materials, programmer, technical and user documentation, and any and all upgrades, enhancements, improvements or modifications to the foregoing), and (ii) all EasyHRweb financial information.

Customer Confidential Information means any Confidential Information owned or claimed by a Customer.
