Supplier's Confidential Information means any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, Know-How, personnel and suppliers of the Supplier, including IPRs, together with information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential;

Supplier's Confidential Information. “Supplemental Requirements” means any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, Know-How, personnel and suppliers of the Supplier, including IPRs, together with information derived from the above, and any other information clearly designated as being confidential or which ought reasonably to be considered to be confidential (whether or not it is marked as “confidential”); means the requirements which are additional to the terms set out in the Call-Off Agreement which are agreed between a Contracting Body and the Supplier and are specified in paragraph 13 of the Order Form;

The Supplier acknowledges that the Contracting Body may disclose the Supplier's Confidential Information to an actual or prospective Replacement Supplier or any third party whom the Contracting Body is considering engaging to the extent that such disclosure is necessary in connection with such engagement (except that the Contracting Body may not disclose any Supplier’s Confidential Information which is information relating to the Supplier’s or its Sub-Contractors’ prices or costs).
In this Framework Schedule 17 (Commercially Sensitive Information) the Parties have sought to identify the Supplier's Confidential Information that is genuinely commercially sensitive and the disclosure of which would be the subject of an exemption under the FOIA.
Nothing in this Contract shall prevent the Customer from disclosing the Supplier's Confidential Information (including the Management Information obtained under clause 7.2): to any Contracting Authority.
The Customer shall use all reasonable endeavours to ensure that any government department, Contracting Authority, employee, third party or Sub-Contractor to whom the Supplier's Confidential Information is disclosed pursuant to clause 16.10.7 is made aware of the Customer's obligations of confidentiality.

Supplier's Confidential Information means all information of the Supplier that is confidential and that has been marked “Confidential” by the Supplier, but which for greater certainty shall not include information that: (i) is or becomes generally available to the public without fault or breach on the part of the Buyer of any duty of confidentiality owed by the Buyer to the Supplier or to any third-party; (ii) the Buyer can demonstrate to have been rightfully obtained by the Buyer, without any obligation of confidence, from a third-party who had the right to transfer or disclose it to the Buyer free of any obligation of confidence; (iii) the Buyer can demonstrate to have been rightfully known to or in the possession of the Buyer at the time of disclosure, free of any obligation of confidence when disclosed; or (iv) is independently developed by the Buyer.
