Contractor's Confidential Information definition

Contractor's Confidential Information means any information, however it is conveyed, that relates to the business affairs, developments, trade secrets, know-how, Contractor’s Personnel and suppliers of the Contractor, including IPRs, together with all information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential, including the Commercially Sensitive Information.

• If CONFIDENTIAL is not clearly marked, or the Contractor’s Confidential Information cannot be marked with a restrictive legend or similar marking or is disclosed either orally or by visual presentation, Contractor shall identify the Confidential Information as confidential at the time of disclosure or within a reasonable time thereafter.

Contractor's Confidential Information means: (i) any and all information, data, source code, stored procedures, knowledge, technology, and know-how relating to the design, production, manufacture, programming, and operation of Contractor’s software or any of its components, whether in electronic, written or verbal form, provided or developed by Contractor and provided to County under this Contract, and (ii) any and all other data or information that is clearly labeled or identified as confidential or proprietary when disclosed by Contractor to County. The following information shall not be considered Contractor’s Confidential Information for the purposes of this Contract: (i) information previously known when received from Contractor; (ii) information freely available to the general public; (iii) information which now is or hereafter becomes publicly known by other than a breach hereof; (iv) information which is developed by County independently of any disclosures made by Contractor of such information; or (v) information which is disclosed by Contractor pursuant to subpoena or other legal process and which as a result becomes lawfully obtainable by the general public.
