Net Product Revenues definition

Net Product Revenues means the portion of gross revenues recognized by Cadence that is directly attributable to the sale or license of the Licensed Works, net of Marketing Agent commissions, returns, commodity taxes, value added taxes, sales taxes, and provision for bad debt. Net Product Revenues specifically excludes revenues recognized by Cadence from any Licensed Works that are provided to persons for evaluation or demonstration purposes only.
Net Product Revenues means (a) gross amounts invoiced for the sale of Product by Praxis or its Affiliates less (b) (i) amounts paid or payable to Ionis with respect to such Product under the Ionis Agreement, (ii) amounts paid or payable to Third Parties for access to technology or intellectual property incorporated or used for such Product, (iii) direct and indirect costs (e.g., discounts, allowances, rebates, payments to third parties, cost of goods sold, sales, general and administrative costs, and taxes, costs and expenses associated with any post-marketing studies required by a Regulatory Authority) actually incurred by Praxis or it Affiliate and allocable to such Product in accordance with GAAP and (iv) Losses actually paid or incurred by Praxis in connection with Praxis’ defense of any Third Party challenge to the RogCon Patent Rights or any assertion of infringement or misappropriation of any Third Party’s intellectual property rights.
Net Product Revenues means Parent's properly recognized consolidated aggregate gross revenues received from sales of the Products for any use or indication, less the sum of the following deductions paid by the Parent where applicable and not otherwise reimbursed by distributors, customers or another third party: shipping, handling, freight and similar costs of the Parent; sales, use or other excise or similar taxes imposed upon particular sales of the Products (excluding income taxes); customs duties; allowances or credits to customers because of rejections or returns of Product; commercially reasonable trade or quantity discounts and fees given by the Parent to distributors or customers, as calculated in accordance with generally accepted accounting principles consistently applied by Parent in accordance with its revenue recognition policies. In the event that Parent bundles the Product with any other of Parent's products or services, the amount of Net Product Revenue to be attributed as having been received by Parent hereunder for the bundled products and services will be calculated by the determining the relevant proportion that the standard list price of the Product bears to the standard list prices of the other products and services bundled with the Product.

Net Product Revenues means the gross invoiced sales of Licensed Products received by Paradigm or their respective Affiliates during the applicable period in arm's length transactions after deduction of the following items, provided and to the extent such items are actually incurred and do not exceed reasonable and customary amounts in each market in which such sales occurred: (i) trade and quantity discounts and rebates; (ii) credits or allowances made for rejection or return of previously sold Licensed Products; (iii) any tax or government charge levied on the sale, such as value added tax (but not including income tax); and (iv) any charges for freight or insurance. In the event that the Licensed Product is not sold or is used internally by Paradigm or an Affiliate of Paradigm, or is sold or otherwise transferred to a third party for a price lower than if it had been sold to a third party in an arm's length transaction ("fair market value"), then Net Products Revenues shall be the fair market value of the Licensed Product.
