Discounts and Rebates. Discounts and rebates earned under this Agreement are “Discounts or Other Reductions in Price” to Customer under 42 U.S.C. §1320a-7b(b)(3)(A) of the Social Security Act, and must be properly reported on applicable Medicare and Medicaid cost reports. Customer should retain a copy of this Agreement and all related notices and communications from NxStage, together with invoices hereunder (which will indicate that a discount or end of period rebate may apply) and permit agents of the U.S. Department of Health and Human Services or any state Medicaid agency access to such records upon request. In order to assist Customer’s compliance with such obligations, NxStage shall fully and accurately report all discounts on the invoices or statements submitted to Customer, or where the value of a discount is not known at the time of sale, NxStage shall fully and accurately report the existence of the discount program on the invoices or statements submitted to Customer and when the value of the discount becomes known, provide Customer with documentation of the calculation of the discount identifying the specific Products to which the discount will be applied. At Customer’s request, NxStage shall also provide Customer with any other information necessary for Customer to comply with such obligations.

Discounts and Rebates. The discounts and rebates for the applicable Products and Services are set forth at the Program Website (as defined and identified in the Pilot Exhibit) and not in Exhibit B (Discount Terms and Conditions) of the Agreement.
Discounts and Rebates. If and to the extent any discount, credit, rebate or other purchase incentive is paid or applied by Cardinal Health with respect to the Merchandise purchased under this Agreement, such discount, credit, rebate or other purchase incentive shall constitute a “discount or other reduction in price,” as such terms are defined under the Medicare/Medicaid Anti-Kickback Statute (42 U.S.C. § 1320a-7b(b)(3)(A) and the “safe harbor” regulations regarding discounts or other reductions in price set forth in 42 C.F.R. § 1001.952(h)) on the applicable Merchandise purchased by Buyer under the terms of this Agreement. Buyer may have an obligation to accurately report, under any state or federal program which provides cost or charge based reimbursement for the products or services covered by this Agreement, or as otherwise requested or required by any governmental agency, the net cost actually paid by Buyer.
Discounts and Rebates. Any discounts and rebates provided to End Customers are not covered by the Specified Margin, and shall be borne by Principal. Distributor shall provide the suggestion in good faith on the estimated average weighted discount and/or rebate ratio and the discount and/or rebate ratio range provided to the End Customers in each Country/Region in the Territory no later than the Effective Date. Distributor ensures that the suggested average weighted discount and/or rebate ratio and the discount and/or rebate ratio range are in compliance with the business practice of the Product in the relevant Country/Region in the preceding year prior to the commencement date of this Agreement and are without prejudice to the current price structure of the Product in each Country/Region. For the first month following the Effective Date, the discounts and rebates provided to End Customers shall be performed pursuant to the suggested average weighted discount and/or rebate ratio and the discount and/or rebate ratio range set forth in Clause 5.2. Upon the expiration of such month, the Principal shall at its own discretion determine the average weighted discount and/or rebate ratio ("Authorized Averaged Weighted Ratio") and the discount and/or rebate ratio range provided to the End Customers ("Authorized Ratio Range") in each Country/Region taking into account the suggestion of the Distributor. Within 30 days following the Commencement Date and subsequently on or before the 15th day of each calendar month during the Term, Distributor shall provide a Monthly Report with detailed sales information including the details of discounts and/or rebates provided to End Customers ("Discount and Rebate Details") on a Territory-by-Territory basis for the Products.
