In the event that any Loan proceeds are used to build-out additional dispensaries (other than that located at the Mortgaged Properties), the Borrowers shall grant Lender a security interest in such equipment and improvements financed with such proceeds.
Each of the Borrower and its Material Subsidiaries has good and marketable title to the Mortgaged Properties, and, to the knowledge of the Borrower, has good and valid title to, or a valid leasehold interest in, all its other material property and none of such property is subject to any Lien except Permitted Liens.
No Borrower or Primary Guarantor shall engage in any business other than the business of developing, constructing, managing, operating and/or owning (directly or indirectly) the Mortgaged Properties for the Permitted Uses.
