Local Customers definition

Local Customers means organizations headquartered in the Territory that seek to acquire one or more Licensed Products for delivery in the Territory and for use only in the Territory and the Field. Local Customers specifically excludes any organization or entity with which Xenogen has an existing commercial relationship, including any affiliate of such organization or entity in the Territory, as identified in Appendix 1 to Exhibit B.

  • Xenogen will not appoint another third party to distribute Licensed Products in the Territory to Local Customers as long as Distributor maintains its exclusive rights as provided in this Agreement.

  • Xenogen hereby grants to Distributor a non-transferable, nonsublicensable, royalty-free license to use the Xenogen Marks in the Territory for the term of this Agreement solely in connection with the marketing and promotion of Licensed Products for use and sale within the Field to Local Customers as contemplated in this Agreement.

  • In addition, Distributor may also distribute Documentation to Local Customers in connection with their use of the Licensed Products.
