ENTIRE AGREEMENT BETWEEN THE PARTIES. This Lease, Initial Written Disclosure and to the extent permissible under Massachusetts laws and regulations, the Rules and Regulations of Wales Village, LLC, contain the entire agreement of the parties and no representation or agreement, whether oral or otherwise between the parties that is not contained in the Lease Agreement, Written Disclosure or Rules and Regulations of Wales Village, LLC shall be of any force or effect.

ENTIRE AGREEMENT BETWEEN THE PARTIES. 1. The parties agree that this Agreement represents the whole and complete arrangement between the parties. 2. The parties further agree that this Agreement supercedes and replaces any and all previous agreements, past practices, or arrangements whether written or oral. 3. The parties agree that this Agreement contains all the covenants and agreements between the parties with respect to the rendering of services in any manner whatsoever. 4. Each party by their signature below acknowledges that no representations, inducements, promises, or agreements, orally or otherwise, have been made by any party, or anyone, acting on behalf of any party which is not embodied herein, and that no other agreement, statement, or promise not contained in this Agreement shall be valid or binding.

ENTIRE AGREEMENT BETWEEN THE PARTIES. This Agreement constitutes the entire agreement (“Entire Agreement”) of the parties and supercedes any prior or contemporaneous agreement by and between the parties, except Stock Option Agreements as discussed herein. The Entire Agreement can be modified only by a written instrument executed by EMPLOYEE and EMPLOYER’S President, on behalf of the EMPLOYER. Section Headings in this Agreement are included herein for convenience of reference only and shall not constitute a part of this Agreement for any other purpose.

ENTIRE AGREEMENT BETWEEN THE PARTIES. This lease contract contains the entire agreement between the parties hereto and neither party is bound by any representations or agreements of any kind except as herein contained, or as this lease may be amended in writing only. Any notices, demands or citations under this lease may be served personally on Lessee or by mail addressed to Lessee at the address contained in this lease contract. This lease shall be binding on executors, administrators, successors or assignees of the parties hereto.

ENTIRE AGREEMENT BETWEEN THE PARTIES. This Occupancy Agreement, the Initial Written Disclosures, and to the extent permissible under Massachusetts laws and regulations, the Rules and Regulations of the Park, contain the entire agreement of the parties and no representation or agreement, whether oral or otherwise, between the parties that is not contained in the Occupancy Agreement, Written Disclosure or Rules and Regulations shall be of any force or affect.

ENTIRE AGREEMENT BETWEEN THE PARTIES. This Letter, together with the agreements governing the Retention Equity Award and Equity Consideration, are the entire agreement and understanding between you and the Company relating to your compensation following the Closing Date. This Letter replaces any prior agreements or understandings between you and the Company relating, in any way, to your compensation, including any agreement in principle or oral statement, letter of intent, statement of understanding or guidelines of the parties hereto with respect to the subject matter hereof, other than the commitments set forth in the Merger Agreement. ENTIRE AGREEMENT BETWEEN THE PARTIES. This Agreement and any addendum(s), amendment(s), exhibit(s), SOW(s) sets forth the entire and final agreement between the parties with respect to the subject matter contained in this Agreement. The sections of this Agreement may not be explained, supplemented or qualified through evidence of prior course of dealings or trade usage. Any and all other terms and conditions, whether printed or written, shall be of no force or effect. Except as herein expressly provided for to the contrary, the provisions of this contract are solely for the benefit of the parties hereto and not intended to confer any rights, remedies, or benefits to any third party, parties, or legal entities.

ENTIRE AGREEMENT BETWEEN THE PARTIES. This agreement contains the entire agreement and understanding concerning the subject matter hereof and supersedes and replaces all prior negotiations and proposed agreements, written or oral. Neither of the parties may alter, amend, nor modify this agreement, except by an instrument in writing signed by both parties. countries in which both the Lessee and the Lessor are located and such countries’ applicable laws shall govern the performance, execution, interpretation, enforceability, validity of this Agreement and any other such matter in its regard.

ENTIRE AGREEMENT BETWEEN THE PARTIES. This Agreement constitutes the entire agreement between the Parties in respect of the purpose hereof, and replaces any prior agreement, whether written or oral, between the Parties having the same purpose. This Agreement may be amended only by a written document signed by all of the Parties.

ENTIRE AGREEMENT BETWEEN THE PARTIES. It is specifically understood and agreed that this Agreement sets forth and constitutes the sole and entire agreement between the Parties, any and all prior and/or contemporaneous agreements, discussions or understandings between the parties pertaining to the subject matter hereof (including, but not limited to, the July 2007 Agreement) are superseded by this Agreement.
