Licensed Trade Dress definition

Licensed Trade Dress. The general image or appearance of the marketing of services performed under the Licensed Logo, including without limitation, the colors, designs, sizing configurations, publication formats and the like as set forth in Schedule B attached hereto and as such trade dress may be modified or replaced pursuant to Section 4.3, and such other trade dress as may be added thereto or substituted therefor in accordance with Section 4.3 or 4.4.
Licensed Trade Dress means the layout, designs and coloring used on the packaging of the Product solely to the extent also used by the Licensor or its current Affiliates on product packaging of their products other than the Products. Licensed Trade Dress expressly excludes Product Trade Dress as defined in the APA, which Product Trade Dress is assigned to Licensee pursuant to the APA executed concurrently herewith.
Licensed Trade Dress. The general image, appearance or dress of the marketing of services performed under the Licensed Master Service Marks and the Licensed Ancillary Service Marks consisting of colors, designs, configurations, publication formats, lettering and the like as set forth in Schedule D attached hereto, and such other trade dress and get-up as may be added thereto or substituted therefor in accordance with this Agreement.

  • Lilly represents and warrants that, as of the Closing Date, all necessary papers and fees concerning the Assigned Trademarks (which are registered as of the Closing Date and are unexpired), and the Licensed Trademark and Trade Dress (other than the Common Law Licensed Trade Dress) have been timely paid and filed with the appropriate governmental agencies or authority.

  • For avoidance of doubt, "Intellectual Property does not mean or include the Assigned Trade Dress or Common Law Licensed Trade Dress.

  • Each party will promptly report in writing to the other party any (a) known or suspected third party infringement of any Licensed Patents, Licensed Trademarks, Shared Licensed Trade Dress or Licensed Copyrights, or (b) unauthorized use or misappropriation of any Licensed Know-How or other Confidential Information by a third party of which it becomes aware, and will provide the other party with all available evidence supporting such infringement or unauthorized use or misappropriation.

  • Licensee will not initiate any such litigation, opposition, cancellation or related legal proceedings in its own name but, at Licensor's request, agrees to be joined as a party in any action taken by Licensor to enforce its rights in the Licensed Master Service Marks, the Licensed Ancillary Service Marks, or the Licensed Trade Dress.

  • Licensee shall not disparage or adversely affect the validity of the Licensed Master Service Marks, the Licensed Ancillary Service Marks, or the Licensed Trade Dress.

  • Nothing in this Agreement shall require or be deemed to require Licensor to enforce the Licensed Master Service Marks, the Licensed Ancillary Service Marks, or the Licensed Trade Dress.

  • Licensee shall assign to Licensor all rights, title, interest and related goodwill in and to any Licensed Trade Dress it develops or uses in connection with the provision of services under this Agreement.

  • Licensee shall maintain, at its own expense, in full force and effect at all times during which services bearing the Licensed Master Service Marks, the Licensed Ancillary Service Marks or the Licensed Trade Dress are being sold, with a responsible insurance carrier acceptable to Licensor, at least a Five (5) Million U.S. Dollar (U.S. $5,000,000.00) comprehensive general liability insurance policy with respect to the services offered under the Licensed Marks.


More Definitions of Licensed Trade Dress

Licensed Trade Dress means the layout, designs and coloring used on the packaging of the Brand License Products as of the Effective Date, which use shall comply with the Brand Standards Manual set forth in *****.
Licensed Trade Dress means Licensor's corporation logo and the color scheme currently used by the Licensor and its subsidiaries, associates and affiliates in connection with such corporation logo, and any other aspect of Product Packaging in current use that constitutes protectible trade dress not assigned to Licensee pursuant to the Asset Purchase Agreement.
Licensed Trade Dress means the general image or appearance of the marketing of Products under the Licensed Marks including the colors, designs, configurations, publication formats and the like as set forth in Schedule I hereto, and such other trade dress as may be added thereto or substituted therefor in accordance with this License Agreement.
Licensed Trade Dress means the total image or impression of the Licensed Products.

Related to Licensed Trade Dress

  • Licensed Trademarks means the trademarks, service marks, trade dress, logos and other icons or indicia designated by SCEA in the SourceBook 2 or other Guidelines for use on or in connection with Licensed Products. Nothing contained in this Agreement shall in any way grant Publisher the right to use the trademark "Sony" in any manner. SCEA may amend such Licensed Trademarks from time to time in the SourceBook 2 or other Guidelines or upon written notice to Publisher.

  • Trade Dress means the current trade dress of a Product, including, but not limited to, Product packaging and the lettering of the Product trade name or brand name.

  • Licensed Marks means the Localized Game Marks and such other trademarks expressly authorized in writing by Shengqu to be used by the Licensees.

  • Product Trademark means (a) any trademark or trade name, whether or not registered, or any trademark application, renewal, extension or modification thereto, in the Territory, or any trade dress and packaging, that is applied to or used with Products by Xxxxxx and (b) all goodwill associated therewith, and any promotional materials relating thereto.

  • Licensed Field of Use means all fields.

  • Licensed Property means the portion of the Software and the Documentation to which Customer has purchased a License as identified on an applicable Order. Licensed Property shall include any updates or upgrades to the Licensed Property that AvePoint may at its discretion deliver to Customer.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

Licenses for Licensed Users are priced on a per seat or site subscription basis.

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.

  • Licensed producer means a person or entity licensed to produce medical cannabis.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Licensed Know-How means all Know-How that (a) is Controlled by Pfizer or any of its Affiliates as of the effective date of the Pfizer-MPP Agreement, (b) directly relates to the use of the Compound, Product or Licensed Product in the Field, and (c) is not in the public domain or otherwise generally known. For the avoidance of doubt, (i) Licensed Know-How shall not include any Know-How to the extent solely and directly related to any other Pfizer compound or to the extent related to the use of the Compound, Product or Licensed Product outside the Field and (ii) Licensed Know-How includes only that Know-How, designated by Pfizer in its sole discretion, necessary for the manufacture, registration and commercialization of the Compound and/or Licensed Product for use in the Field. For the avoidance of doubt, Licensed Know-How excludes any Know-How related to ritonavir that has been (either as of the Effective Date or at any time during the term of this Agreement) in-licensed by Pfizer from any Third Party.

  • Hemp product means the same as that term is defined in § 3.2-4112.

  • Licensed Product means a product, method or service in the Licensed Field of Use, the making, having made, using, importing or selling of which, absent this license, infringes, induces infringement, or contributes to infringement of a Licensed Patent.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Hemp products means all products made from industrial hemp,
