Lilly represents and warrants that, as of the Closing Date, all necessary papers and fees concerning the Assigned Trademarks (which are registered as of the Closing Date and are unexpired), and the Licensed Trademark and Trade Dress (other than the Common Law Licensed Trade Dress) have been timely paid and filed with the appropriate governmental agencies or authority.
For avoidance of doubt, "Intellectual Property does not mean or include the Assigned Trade Dress or Common Law Licensed Trade Dress.
Lilly will be responsible for and promptly pay when due all fees necessary to and will otherwise maintain the Licensed Trademark and Trade Dress (other than the Common Law Licensed Trade Dress).
This Agreement does not grant Licensee the right to use any AT&T Service Xxxx or any other Xxxx of Licensor in any manner, except as part of the Licensed Logo, Licensed Phrase and Licensed Trade Dress as specifically set forth in this Agreement, or in the manner specifically set forth in Sections 2.4, 4.1, 4.3 and 4.4.
Each party will promptly report in writing to the other party any (a) known or suspected third party infringement of any Licensed Patents, Licensed Trademarks, Shared Licensed Trade Dress or Licensed Copyrights, or (b) unauthorized use or misappropriation of any Licensed Know-How or other Confidential Information by a third party of which it becomes aware, and will provide the other party with all available evidence supporting such infringement or unauthorized use or misappropriation.
Licensee will not initiate any such litigation, opposition, cancellation or related legal proceedings in its own name but, at Licensor's request, agrees to be joined as a party in any action taken by Licensor to enforce its rights in the Licensed Master Service Marks, the Licensed Ancillary Service Marks, or the Licensed Trade Dress.
Licensee shall not disparage or adversely affect the validity of the Licensed Master Service Marks, the Licensed Ancillary Service Marks, or the Licensed Trade Dress.
Nothing in this Agreement shall require or be deemed to require Licensor to enforce the Licensed Master Service Marks, the Licensed Ancillary Service Marks, or the Licensed Trade Dress.
Licensee shall assign to Licensor all rights, title, interest and related goodwill in and to any Licensed Trade Dress it develops or uses in connection with the provision of services under this Agreement.
Licensee shall maintain, at its own expense, in full force and effect at all times during which services bearing the Licensed Master Service Marks, the Licensed Ancillary Service Marks or the Licensed Trade Dress are being sold, with a responsible insurance carrier acceptable to Licensor, at least a Five (5) Million U.S. Dollar (U.S. $5,000,000.00) comprehensive general liability insurance policy with respect to the services offered under the Licensed Marks.
