Cause. 'Cause means (i) material breach of any material terms of this Agreement, (ii) conviction of a felony, (iii) repeated unexplained or unjustified absence, (iv) willful breach of fiduciary duty under this Agreement, or (v) failure to meet the Company's standards of competence and job performance.

'Cause means: (i) Executive’s commission of an act of fraud or embezzlement upon the Company; (ii) Executive’s being convicted of or pleading guilty or nolo contendere to a felony involving fraud, dishonesty or moral turpitude; or (iii) Executive’s willful and continued failure to perform substantially his material duties with the Company (other than failure resulting from incapacity due to physical or mental illness) which is not remedied in a reasonable period of time after written demand for substantial performance is delivered to the executive by the Board which specifically identifies the manner in which the Board believes Executive has not substantially performed his duties; provided, however, such failure will not constitute Cause if it is cured by Executive within 30 days following delivery to Executive of a written explanation specifying the basis for the Company’s beliefs with respect to this clause (iii).

Upon termination of Executive’s employment for justifiable cause, this Agreement shall terminate immediately and Executive shall not be entitled to any amounts or benefits hereunder other than such portion of Executive’s annual base salary and reimbursement of expenses pursuant to Section 5 hereof as have been accrued through the date of his termination of employment.

  • Cause Event means (1) fraud, criminal conduct or willful misconduct by or on the part of the Dealer Manager, (2) a representation or warranty made by the Dealer Manager herein proving to be untrue in any material respect, or (3) a default in the due performance or observance by the Dealer Manager of any covenant or agreement contained in this Agreement and such default continuing unremedied for a period of 30 days after written notice thereof to the Dealer Manager by the Company.
