Title Searches. The Agent may, at any time and at the expense of Borrower, obtain an updated title and/or lien search regarding any Mortgaged Property or Collateral, or any portion thereof; provided that, unless the Agent reasonably believes that a Lien not otherwise permitted under this Agreement may encumber any Mortgaged Property or Collateral or any portion thereof or an Event of Default shall have occurred and be continuing, the Agent may so obtain such search with respect to such Mortgaged Property or Collateral or portion thereof not more than once each calendar year.

Title Searches. For each Closing following the Initial Closing, -------------- TowerCo shall cause (i) a national title insurance company with licensed agents in each part of the Territory to cause a full title search to be undertaken as to each Site in such part of the Territory and (ii) to deliver copies of such title search to BMI not less than ten (10) days prior to the date scheduled for such Closing in the Closing Schedule, and in any event contemporaneously with the delivery of such searches to any Crown Affiliate or agent of any Crown Affiliate. Each Transferring Entity whose Sites are covered by the foregoing obligation shall provide access to any documents reasonably available to it, to the extent necessary to facilitate such title search.
Title Searches. RCI will perform title searches on whatever basis is RCI's usual and customary practice for doing so, for purposes of identifying potential new additions to the RCI Catalog. RCI will consider all requests made by ASMT to add any particular product or title to the RCI Catalog and will use reasonable efforts to respond to such requests promptly. However RCI shall be entitled to deny any requests as well as suppress any titles which are not in line with RCIs' business strategy. Accordingly, from time to time during the Term, RCI may, at its sole discretion, make corrections, enhancements, revisions, updates, upgrades and other changes to the RCI Catalog unrelated to any requests by ASMT or ASMT Customers.
Title Searches. Following the Closing Date, the Company shall diligently pursue, and use commercially reasonable efforts to obtain, completed title searches on all of the Timberlands that constitute Collateral (including the Timberlands pledged as Collateral on the First Amendment Effective Date), such title searches to be in form, substance and scope reasonably satisfactory to the Administrative Agent. To the extent any material defects in title are identified (as reasonably determined by the Administrative Agent) in such title searches, the Company shall either (i) promptly cure such title defects to the reasonable satisfaction of the Administrative Agent or (ii) promptly substitute new Collateral reasonably satisfactory to the Administrative Agent for such affected Collateral in accordance with the terms of Section 6.14. Notwithstanding anything to the contrary herein, it is hereby agreed that correction deed or other similar agreements relating to the Timberland Mortgages may be entered into by the Administrative Agent and the Borrowers to correct or replace any legal descriptions which are found to contain any errors upon receiving the final title reports required to be delivered by the Borrowers hereunder.
