Temporary Housing Allowance. Beginning April 1, 2005, the Company, at its cost, shall provide temporary furnished housing for the Executive on a month-to-month basis for a minimum of three months. Thereafter, the Chief Executive Officer and the Executive shall review the temporary housing allowance and mutually determine, on a month-to-month basis, whether to continue it for a maximum period up to January 31, 2006.

Temporary Housing Allowance. The Company will provide Employee with a monthly temporary-housing allowance not to exceed $3,000 per month, for the first twelve (12) months of the Employment Period, if necessary depending on Employee’s primary work location. In the event Employee has not secured permanent accommodations by the first annual anniversary of the Employment period, the Company may continue to provide a temporary-housing allowance on trade in such amount and for such duration as the Company determinations in its discretion.
Temporary Housing Allowance. The Company agrees that for a period of three (3) months, commencing on February 7, 2000, Company shall pay to Executive one thousand dollars ($1,000.00) per month as a temporary housing allowance.

In the event that (i) Executive voluntarily terminates his employment with the Company without Good Reason (as defined in the Severance Plan) within thirty-six (36) months after the Start Date, or (ii) the Company terminates Executive’s employment for Cause (as defined in the Severance Plan) within thirty-six (36) months after the Start Date, Executive agrees to repay the full amount of the temporary housing allowance (together with any related tax-gross up payment) actually paid to Executive within thirty (30) days after termination of Executive’s employment.

In recognition of the need for Executive to relocate from his present residence, Employer agrees, for a period of six (6) months from the Effective Date, to reimburse Executive for such reasonable occupancy and transportation costs as are incurred by him in order to relocate to and work out of the Employer's administrative headquarters, with the understanding that the approximate amount of such expenses shall be discussed with and agreed to by Employer on the Effective Date (and thereafter on a periodic basis).
