Removal and/or Replacement of Personnel. Except as the STATE may otherwise agree, no changes shall be made to the project manager. If, for any reason beyond the reasonable control of the CONTRACTOR, it becomes necessary to replace the project manager, the CONTRACTOR shall provide as a replacement a person of equivalent or better qualifications and approved by the STATE. The CONTRACTOR shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the STATE. Proposed substitutes should have comparable qualifications to those of the persons being replaced. The CONTRACTOR shall notify the STATE within 15 calendar days after the occurrence of any of these events and provide the information required. If the STATE finds that the CONTRACTOR’s project manager has committed serious misconduct or has been charged with having committed a criminal action, or has reasonable cause to be dissatisfied with the performance of the project manager, then the CONTRACTOR shall at the STATE’s written request specifying the grounds therefore, provide as a replacement a person with qualifications and experience acceptable to the STATE. The STATE will notify the CONTRACTOR within 15 calendar days after receipt of all required information of the decision on substitutions. The CONTRACTOR shall have no claim for additional costs arising out of or incidental to any removal and/or replacement of the project manager.
