Relocation and Temporary Living Reimbursement. The Company will --------------------------------------------- reimburse Executive for reasonable moving and travel expenses incurred by Executive and his family during their relocation from Executive's primary residence to the Orange County, California area. The Company will reimburse Executive for reasonable temporary living expenses that Executive incurs during the first ninety (90) days of the Employment Term, and during this period, Company will provide Executive with such temporary housing in the Orange County, California area as the Company reasonably selects. The total of all such amounts paid under this Section 4(d) shall not exceed Twenty-Five Thousand Dollars ($25,000).

Relocation and Temporary Living Reimbursement. The Company shall pay or otherwise reimburse Executive for the following relocation and temporary living expenses up to a maximum gross amount of $100,000 (inclusive of any tax gross up payments on the following): (i) reasonable moving expenses incurred by Executive and his immediate family for the packing, loading, insuring, and transferring household goods and furnishings during their relocation from Executive’s primary residence in Edgewater, New Jersey area to the Goleta, California area, (ii) reasonable costs for Executive to move himself and his spouse to the Goleta, California area (i.e., mileage reimbursement for two vehicles, shipping costs for two vehicles, and reasonable lodging and reasonable meal expenses), (iii) reasonable costs for up to two house-hunting trips to the Goleta, California area that are incurred before the second anniversary of the Effective Date), and (iv) reasonable temporary housing expenses for a furnished one-bedroom apartment in the Goleta, California area for Executive for up to six (6) months, in each case, which must be incurred on or before the one (1)-year anniversary of the Effective Date (provided the Relocation Requirement is satisfied). All reimbursement requests made pursuant to this section must be submitted within sixty (60) days of the date they are incurred, and are subject to the Company’s reimbursement policy, including appropriate substantiation for any such requests. All payments and reimbursements shall be grossed up for applicable taxes upon payment or reimbursement to Executive. If, prior to the second (2nd) anniversary of the Effective Date, Executive’s employment is terminated by the Company for Cause or by Executive voluntarily without Good Reason, in either case, Executive agrees to refund the Company within sixty (60) days of the termination date an amount equal to the net after tax amount of such payments, multiplied by the fraction described in Section 4(c)(ii).
Relocation and Temporary Living Reimbursement. During the Employment Term, the Company will reimburse the Executive for: (i) reasonable moving expenses incurred by Executive and his family during their relocation from Executive's primary residence to the Company's headquarters, and (ii) reasonable housing and living expenses to be mutually agreed to by the Company and Executive. The total of all such amounts shall not exceed $75,000 per year.
Relocation and Temporary Living Reimbursement. During the Employment Term, the Company will reimburse Executive for: (i) reasonable moving expenses incurred by Executive and Executive’s family during their relocation from France to the Boston, Massachusetts (USA) area, and (ii) reasonable temporary housing, travel and related expenses to be mutually agreed to by the Company and Executive. The total of all such reimbursements provided to Executive under this Section 3(c) shall not exceed €35.000 (or such equivalent amount in U.S. dollars as calculated by the Company) and must be incurred on or before September 30, 2019. Reimbursements paid by the Company will be considered taxable income to Executive to the extent required by applicable law. Any reimbursements will be paid to Executive within thirty (30) days after the date Executive submits receipts for the expenses, provided Executive submits those receipts within forty-five (45) days after incurring the expense, and are subject to the provisions of Section 25 of this Agreement.
Relocation and Temporary Living Reimbursement. During the Employment Term, and in accordance with the Relocation Policy attached hereto and incorporated by reference, the Company will reimburse Executive for: (i) reasonable moving expenses incurred by Executive and her family during their relocation from Executive's primary residence to the Company location area, and (ii) reasonable temporary housing and living expenses to be mutually agreed to by the Company and Executive, which shall include a temporary housing allowance of up to $3,000 per month (to cover any increase in the mortgage/rental obligations incurred by Executive as compared to Executive's most recent permanent residence) for up to two (2) years after Executive moves out of temporary housing approved by the Company. The total of all such amounts shall not exceed those amounts set forth in the Relocation Policy.

Relocation and Temporary Living Reimbursement. The Company will pay or otherwise reimburse Executive for: (i) reasonable moving expenses incurred by Executive and his immediate family for the packing, loading, insuring, and transferring household goods and furnishings during their relocation from Executive’s primary residence in Belmont, California area to Dallas, Texas area, plus up to sixty days of storage for such items, (ii) reasonable costs for Executive to move himself, i.e., the cost of economy class airfare and shipping costs for one vehicle or mileage reimbursement and up to two nights of lodging and meal expenses, (iii) reasonable costs for flight, lodging and travel expenses for up to two house-hunting trip to the Dallas, Texas area (must be used before the Start Date), (iv) the closing costs on purchase of new personal home in the Dallas, Texas area (e.g., loan origination fees, inspections, but excluding points) during the Employment Term, and (v) reasonable temporary housing and living expenses for Executive and his immediate family in the Dallas, Texas area for up to 60 days, which must be incurred on or before 120 days following the Start Date. All reimbursement requests made pursuant to this section must be submitted within 60 days of the date they are incurred, and are subject to the Company’s reimbursement policy, including appropriate substantiation for any such requests. In addition, within 30 days of the Start Date, the Company will pay Executive a lump sum payment of $5,000 for miscellaneous moving expenses. All payments and reimbursements will be grossed up for applicable taxes upon payment or reimbursement to Executive. If, prior to the one-year anniversary of the Start Date, Executive’s employment is terminated by the Company for Cause or by Executive voluntarily without Good Reason, Executive agrees to refund the Company the gross amount of all payments or reimbursements made under this paragraph within 60 days of the termination date.
Relocation and Temporary Living Reimbursement. During the Employment Term, the Company will reimburse Executive, for a period not to exceed one year following the Effective Date, for the following: (i) reasonable temporary housing and living expenses to be mutually agreed to by the Company and Executive, and (ii) reasonable expenses related to costs of Executive’s assignment (including, but not limited to, air travel, car rental, etc.). The total of all such amounts shall not exceed $5,000 per month. Such amounts will be reimbursed in the Company’s normal accounts payable cycles. The Company and Executive shall discuss reimbursement for permanent relocation at such time as and in the event such permanent relocation is so required.
Relocation and Temporary Living Reimbursement. ESI will pay all reasonable and ordinary costs of Executive’s relocation from Scottsdale, Arizona to the Portland, Oregon area, so long as Executive remains employed with ESI as of the date of such relocation. This includes costs associated with house-hunting trips, normal selling costs for the home in Scottsdale, normal buying costs of the home in the Portland area, and a payment of the equivalent of one (1) month’s salary for miscellaneous relocation expenses. ESI agrees to pay either rent or a house payment (PITI) in the Portland area until such time as Executive’s house in Scottsdale is sold or nine months from the Effective Date, whichever occurs sooner, so long as Executive continues to remain employed by ESI during such period. To the extent that any relocation/commuting benefits are taxable to Executive, ESI will pay a full gross-up (except to the extent that such expenditures may be deducted on Executive’s personal income tax) so that the amounts paid by ESI, net of Executive’s taxes, fully cover the relevant expenses. Executive agrees that the sale of Executive’s current home in Scottsdale, Arizona and the purchase of Executive’s new home in the Portland, Oregon area will be conducted in accordance with the “Home Sale Assistance/Market Value Purchase” and “Home Purchase Assistance” provisions contained in ESI’s Officer Relocation Program Guide (the “Relocation Guide”), the terms of which are incorporated herein by reference. Change in Control Agreement. Concurrently with the execution of this Agreement, the parties hereto shall enter into a Change in Control Agreement in the form attached hereto as Exhibit B (the “Change in Control Agreement”).
