Planning and Design Phase. From and after the date of submission by Utility to Railroad of Utility's Route Plan, Utility and its designated employees, agents and representatives shall have the right to enter upon any portion of Rail Corridor shown on such Route Plan for a period of one hundred eighty (180) days for the purpose of surveying and inspecting the same, subject to all applicable notice, approval and other applicable requirements contained in this Agreement (the "Planning and Design Phase").

Planning and Design Phase. 1.2.1 Design Guidelines; Approved Schematic Design; Approved Final Design. CP Home shall, with the assistance of qualified design expertise, personnel and consultants, design the Project in substantial accordance with the Design Guidelines attached hereto as Attachment “A”, which shall include the requirements of the Design Review Committee of the Costa Palmas Resort II and Residences I Sub-Condominium Regime, and such further requirements imposed by AMAN and its affiliates, subject to section 1.4. These Design Guidelines take precedence over any images, renderings, models, mockups, or showroom presentations regarding potential design elements and options available to Buyer. CP Home shall communicate with Buyer at various stages of the design, as set forth in Attachment “B”, to obtain Buyer’s selections and approvals necessary to finalize the design. CP Home shall obtain Buyer’s agreement to a final schematic design (which, upon approval, shall constitute of 100% completed schematic documents for the Project (the “Approved Schematic Design”)), and a final construction design (which, upon approval, shall constitute of 100% completed construction documents for the Project (the “Approved Final Design”)).

  • Training and Support Through the Solution, the Contractor shall provide all consulting, training, and support to the Customer and FL[DS] to ensure successful implementation of the Solution and ongoing support as necessary and as defined by FL[DS] to include, but not be limited to:

  • OPERATION AND MAINTENANCE OF COMMON AREAS During the Term, Landlord shall operate all Common Areas within the Building and the Project. The term “Common Areas” shall mean all areas within the Building, Project and other buildings in the Project which are not held for exclusive use by persons entitled to occupy space.

  • Repairs; Maintenance and Compliance Borrower shall at all times maintain, preserve and protect all franchises and trade names, and Borrower shall cause the Property to be maintained in a good and safe condition and repair and shall not remove, demolish or alter the Improvements or Equipment (except for alterations performed in accordance with Section 5.4.2 below and normal replacement of Equipment with Equipment of equivalent value and functionality). Borrower shall promptly comply with all Legal Requirements and immediately cure properly any violation of a Legal Requirement. Borrower shall notify Lender in writing within two (2) Business Days after Borrower first receives notice of any such non-compliance. Borrower shall promptly repair, replace or rebuild any part of the Property that becomes damaged, worn or dilapidated and shall complete and pay for any Improvements at any time in the process of construction or repair.

  • Information Systems Acquisition Development and Maintenance Security of System Files. To protect City Information Processing Systems and system files containing information, Service Provider will ensure that access to source code is restricted to authorized users whose specific job function necessitates such access.

  • Operation and Maintenance 17.1 O&M obligations of the Concessionaire

  • System Maintenance The Trust understands that USBFS will perform periodic maintenance to the System(s), which may cause temporary service interruptions. To the extent possible, USBFS shall notify the Trust of all planned outages and will perform any necessary maintenance during non-business hours.

  • Research and Development (i) Advice and assistance in relation to research and development of Party B;

  • Support and Maintenance Where Licensee purchases support and/or maintenance services, Licensee’s initial support and/or maintenance term will begin upon delivery to Licensee of the Licensed Software and continue for one (1) year thereafter (or the length of the term if less than a year for any subscription/term license) unless otherwise specified in the applicable annual support and/or maintenance agreement, Product Order, or other written agreement executed between Licensor and Licensee. Where Licensee purchases support and/or maintenance for any Licensed Software, Licensee hereby agrees that it shall purchase such support and/or maintenance services for all of Licensee’s licensed units of such Licensed Software product. Support and/or maintenance services provided by Licensor will be subject to Licensor’s then current applicable standard annual support and/or maintenance agreement unless otherwise agreed by the parties in writing.

  • Maintenance and Support Services As long as you are not using the Help Desk as a substitute for our training services on the Tyler Software, and you timely pay your maintenance and support fees, we will, consistent with our then-current Support Call Process:

  • Listing and Maintenance Requirements The Common Stock is registered pursuant to Section 12(b) or 12(g) of the Exchange Act, and the Company has taken no action designed to, or which to its knowledge is likely to have the effect of, terminating the registration of the Common Stock under the Exchange Act nor has the Company received any notification that the Commission is contemplating terminating such registration. The Company has not, in the 12 months preceding the date hereof, received notice from any Trading Market on which the Common Stock is or has been listed or quoted to the effect that the Company is not in compliance with the listing or maintenance requirements of such Trading Market. The Company is, and has no reason to believe that it will not in the foreseeable future continue to be, in compliance with all such listing and maintenance requirements.
