LOYALTY AND EFFICIENCY. Employees of the Company, members of the Brotherhood, agree that they will perform loyal and efficient work and service; that they will use their influence and best endeavors to protect the property of the Company and its interests; and that they will cooperate with the Company in promoting and advancing its welfare and prosperity.

LOYALTY AND EFFICIENCY. 10. Employees of the Company, members of the Union, agree that they will perform loyal and efficient work and service; that they will use their influence and best endeavors to protect the property of the Company and its interest; and, that they will cooperate with Management in promoting and advancing the welfare and prosperity of same at all times. No employee of the Company shall at any time be discriminated against because of membership or non- membership in the Union.
LOYALTY AND EFFICIENCY. The Union agrees that it will take every reasonable means which are within its powers to induce employees who are members of the Union, and subject to its discipline, to individually and collectively perform loyal and efficient service and to use their influence and best efforts to protect the properties of the Company and its interest and cooperate with the Company and its employees to this end at all times; to deal with the public in a courteous manner at all times; to cooperate in influencing and encouraging employees to make themselves available for work during emergencies. Officers of the Company and the Union and its members shall in all matters pertaining to this Agreement take into consideration that the Company is a public service corporation and that the safety and goodwill of the general public, including the customers of the Company and the continuity of service to them, are of primary importance.
LOYALTY AND EFFICIENCY. (a) The Union agrees that its members who are employees of the Cooperative will individually and collectively perform loyal and efficient services: that they will use their influence and best efforts to protect the Cooperative, and will cooperate with the Cooperative to this end at all times by making out daily report sheets of activities.

This provision shall not be interpreted to prohibit or infringe upon any employees right to free speech.

The Union will take proper measures that are within its authority to see that this policy is followed by the membership. The Union recognizes that as a public utility it is of great importance for the Company to have good public relations and will continue to encourage and influence Union members to make themselves available for emergency work and at all times deal with the public in a courteous manner. Officers of the Company and the Union and its members shall in all matters pertaining to this agreement take into consideration that the Company is a public service corporation and that the safety and good will of the general public, including the customers of the Company, and the continuity of service to them are of primary importance. The Union is contracted to do all overtime work in the same manner as straight time work. An employee is required to work overtime hours when requested unless he has a justifiable reason to excuse himself from doing so.

  • Energy Efficiency The contractor shall comply with all mandatory standards and policies relating to energy efficiency which are contained in the energy conservation plan issued in compliance with the Energy Policy and Conservation Act (Pub.L. 94-163) for the State in which the work under this contract is performed.

  • Data Practices The Public Entity agrees with respect to any data that it possesses regarding the G.O. Grant, the Project, or the operation of the Real Property and, if applicable, Facility, to comply with all of the provisions and restrictions contained in the Minnesota Government Data Practices Act contained in Chapter 13 of the Minnesota Statutes that exists as of the date of this Agreement and as such may subsequently be amended, modified or replaced from time to time.

  • Ethical Practices Xxxxxx provides adoption services ethically and in accordance with the Hague Convention’s principles of: ensuring that both domestic and intercountry adoptions take place in the best interests of children; and preventing the abduction, exploitation, sale, or trafficking of children. The Agency prohibits its employees and agents from giving money or other consideration, directly or indirectly, to a child’s parent(s), other individual(s), or an entity as payment for the child or as an inducement to release the child. If permitted or required by the child’s country of origin, the Agency may remit reasonable payments for activities related to the adoption proceedings, pre-birth and birth medical costs, the care of the child, the care of the birth mother while pregnant and immediately following birth, or the provision of child welfare and child protection services generally.

  • Profitability The Board reviewed detailed information regarding revenues received by XXXX under the Agreement. The Board considered the estimated costs to XXXX, and pre-tax profits realized by XXXX, from advising the DWS Funds, as well as estimates of the pre-tax profits attributable to managing the Fund in particular. The Board also received information regarding the estimated enterprise-wide profitability of DIMA and its affiliates with respect to all fund services in totality and by fund. The Board and the Fee Consultant reviewed XXXX’s methodology in allocating its costs to the management of the Fund. Based on the information provided, the Board concluded that the pre-tax profits realized by XXXX in connection with the management of the Fund were not unreasonable. The Board also reviewed certain publicly available information regarding the profitability of certain similar investment management firms. The Board noted that, while information regarding the profitability of such firms is limited (and in some cases is not necessarily prepared on a comparable basis), DIMA and its affiliates’ overall profitability with respect to the DWS Funds (after taking into account distribution and other services provided to the funds by XXXX and its affiliates) was lower than the overall profitability levels of most comparable firms for which such data was available. Economies of Scale. The Board considered whether there are economies of scale with respect to the management of the Fund and whether the Fund benefits from any economies of scale. The Board noted that the Fund’s investment management fee schedule includes fee breakpoints. The Board concluded that the Fund’s fee schedule represents an appropriate sharing between the Fund and DIMA of such economies of scale as may exist in the management of the Fund at current asset levels.

  • Quality All products will be new and unused. All products provided by the Contractor must meet all federal, state, and local standards for quality and safety requirements. Products not meeting the requirements of this section will be deemed unacceptable and returned to the Contractor for credit at no charge to the State.

  • PRODUCTIVITY The Productivity Scheme which was agreed to is: Contained in Annexure B.

  • Coordination of Care (a) The MA Dual SNP is responsible for coordinating the delivery of all benefits covered by both Medicare and Medicaid for Dual Eligible Members and Other Dual SNP Members who are eligible for LTSS including when benefits are delivered via Medicaid fee-for-service, making reasonable efforts to coordinate Medicare Advantage benefits provided by the MA Dual SNP with LTSS provided through Texas Health and Human Services Commission and the STAR+PLUS HMOs. Coordination of Care must include the following for these members:

  • Diversity The Employer and the Union recognize the values of diversity in the workplace and will work cooperatively toward achieving a work environment that reflects the interests of a diverse work force.

  • Internal Practices To make Business Associate’s internal practices, books and records relating to the use and disclosure of PHI received from County, or created or received by Business Associate on behalf of County, available to County or to the Secretary of the U.S. Department of Health and Human Services in a time and manner designated by County or by the Secretary, for purposes of determining County compliance with the HIPAA regulations.
