You represent and warrant to us that at all times during which this Addendum is operative you will be an active member of or participant in and/or hold an arrangement to acquire Transactions of each Network and/or card issuing organization you designate for our Gateway service. Through our Gateway service, we will receive (i) Transaction requests of your Cardholders made at Terminals of other Networks for your authorization and/or (ii) Transaction requests by Cardholders of other Networks and/or card issuing organizations made at your Terminals for authorization by such other Networks or card issuing organizations.

Gateway Service. Gateway is BMO Xxxxxxx Xxxxx’ password-protected online client information centre. Gateway provides clients with access to their accounts, as well as news, quotes, market information and much more, through a secure Internet site. The Client hereby acknowledges that the security, integrity and privacy of any and all information exchanged between the Client and BMO Xxxxxxx Xxxxx over the Internet cannot be guaranteed and that any such information may be viewed or tampered with in transit by a third party. The Client acknowledges and agrees that BMO Xxxxxxx Xxxxx may be required to provide information to certain exchanges and other service providers in connection with the Client’s use of the Internet as per previous service. The Client will not send buy/sell orders, fund transfers or other instructions via the Internet as such communications cannot be verified nor accepted by BMO Xxxxxxx Xxxxx.

The Gateway service employs the Liferay portal as the portlet-hosting platform. Liferay Portal offers a complete platform for building web apps, mobile apps, and web services quickly, using features and frameworks designed for rapid development, good performance, and ease of use. It runs on all major application servers and servlets containers and it is JSR 168 and JSR 286 compliant. Portlets are using JSR 286 and several other technologies such as Java Server Pages for dynamically generation of HTML/XML documents in response to a client’s request, and the most popular Front-End frameworks such as Angular, React or Vue. With the registration procedure the user accepts to deposit her/his Personal Profile Data and the user shall be deemed to accept these conditions of use: Among the types of Personal Profile Data that the Gateway collects, by itself or through third parties, there are: Cookies, Usage data, first name, last name and email address. The Personal Profile Data may be freely provided by the User, or, in case of Usage Data, collected automatically when using an Application; All Data requested by the Gateway is mandatory and failure to provide this Data may make it impossible for this Gateway to provide its services. In cases where this Gateway specifically states that some Data is not mandatory, Users are free not to communicate this Data without any consequences on the availability or the functioning of the service; Users who are uncertain about which Personal Data is mandatory are welcome to contact the Provider; Any use of Cookies – or of other tracking tools – by this Gateway or by the owners of third- party services used by this Gateway serves the purpose of providing the service required by the User, in addition to any other purposes described in the present document and in the Cookie Policy, if available; Users are responsible for any third-party Personal Data obtained, published or shared through this Gateway and confirm that they have the third party's consent to provide the Data to the Owner; X0Xxxxxxx.xxx, i.e. the Data Controller, processes the Data of Users in a proper manner and shall take appropriate security measures to prevent unauthorized access, disclosure, modification, or unauthorized destruction of the Data; The Data processing is carried out using computers and/or IT enabled tools, following organizational procedures an...

  • Service Recognition Except as provided below, (a) SpinCo shall give each SpinCo Participant full credit for purposes of eligibility, vesting, determination of level of benefits, and, to the extent applicable, benefit accruals under any SpinCo Benefit Plan for such SpinCo Participant’s service prior to the Distribution Date to the same extent such service was recognized by the applicable RemainCo Benefit Plans immediately prior to the Distribution Date, and (b) RemainCo shall give each RemainCo Participant full credit for purposes of eligibility, vesting, determination of level of benefits, and, to the extent applicable, benefit accruals under any RemainCo Benefit Plan for such RemainCo Participant’s service prior to the Distribution Date to the same extent such service was recognized by the applicable SpinCo Benefit Plans immediately prior to the Distribution Date; provided, however, that such service shall not be recognized to the extent that such recognition would result in the duplication of benefits under a RemainCo Benefit Plan and a SpinCo Benefit Plan. Notwithstanding the foregoing, unless the Parties otherwise agree in writing, (a) if a RemainCo Participant becomes employed by a member of the SpinCo Group after the Distribution Date, then, except to the extent required by applicable law, such individual’s service with the RemainCo Group will not be recognized for any purpose under any SpinCo Benefit Plan, and (b) if a SpinCo Participant becomes employed by a member of the RemainCo Group after the Distribution Date, then, except to the extent required by applicable law, such individual’s service with the SpinCo Group will not be recognized for any purpose under any RemainCo Benefit Plan. Nothing herein shall limit RemainCo or SpinCo or their respective affiliates from recognizing service in addition to the recognition of service required hereunder, but any such additional service shall not be recognized for purposes of Section 2.6 of this Agreement.

  • TELEPHONE SERVICE Notwithstanding any other provision of this Lease to the contrary:

  • Utility Service Tenant shall pay the cost of all utility services, including, but not limited to, initial connection charges and all charges for gas, water, and electricity used on the Leased Premises. If the Leased Premises are separately metered, Tenant shall pay such costs directly to the appropriate utility company. Otherwise, Tenant shall pay such costs pursuant to Paragraph 6(b) above. Tenant shall pay all costs caused by Tenant introducing excessive pollutants into the sanitary sewer system, including permits, fees and charges levied by any governmental subdivision for any pollutants or solids other than ordinary human waste. If Tenant can be clearly identified as being responsible for obstructions or stoppage of the common sanitary sewage line, the Tenant shall pay the entire cost thereof, upon demand, as additional rent. Tenant shall be responsible for the installation and maintenance of any dilution tanks, holding tanks, settling tanks, sewer sampling devices, sand traps, grease traps or similar devices which may be required by the appropriate governmental subdivision for Tenant's use of the sanitary sewer system. Tenant shall also pay all surcharges (i.e. charges in excess of normal charges) levied due to Tenant's abnormal use of sanitary sewer or waste removal services so that no such surcharges shall affect Landlord or other tenants in the Project under Paragraph 6(b) above.

  • Outside Services Consultant shall not use the service of any other person, entity, or organization in the performance of Consultant’s duties without the prior written consent of an officer of the Company. Should the Company consent to the use by Consultant of the services of any other person, entity, or organization, no information regarding the services to be performed under this Agreement shall be disclosed to that person, entity, or organization until such person, entity, or organization has executed an agreement to protect the confidentiality of the Company’s Confidential Information (as defined in Article 5) and the Company’s absolute and complete ownership of all right, title, and interest in the work performed under this Agreement.

  • Customer Service A. PRIMARY ACCOUNT REPRESENTATIVE. Supplier will assign an Account Representative to Sourcewell for this Contract and must provide prompt notice to Sourcewell if that person is changed. The Account Representative will be responsible for: • Maintenance and management of this Contract; • Timely response to all Sourcewell and Participating Entity inquiries; and • Business reviews to Sourcewell and Participating Entities, if applicable.
