Final Cost Report. S A M P L E Upon completion of principal photography, Producer must submit to SAG-AFTRA a detailed report of actual expenditures and other relevant materials as SAG-AFTRA may require, showing actual cost of the production. In the event that the actual production costs for the Project have exceeded the thresholds set forth in Section 1.C. herein, full payment of any additional sums necessary to bring each Performer's rate of pay in compliance with the minimum rates specified in the applicable SAG-AFTRA Agreement automatically become due and payable. Pension and Health contributions must also be paid on these additional amounts. The determination of the applicable SAG-AFTRA Agreement is at SAG-AFTRA’s sole discretion. In the event that the actual production costs for the Picture have exceeded $700,000 (or $1,050,000 under the Diversity in Casting Incentive), full payment of any additional sums necessary to bring each Performer's rate of pay in compliance with the minimum rates specified in the SAG-AFTRA Letter Agreement for Low Budget Theatrical Pictures (hereinafter, "Low Budget Agreement") automatically become due and payable. However, if the actual cost of the Picture exceeds the budget limit specified in the Low Budget Agreement, the minimum rates, terms and conditions specified in the then- current Basic Agreement become due and payable instead. Pension and Health contributions must also be paid on these additional amounts.

Final Cost Report. Seller shall file or cause to be filed the final Cost Reports for the period prior to the Closing required to be filed with the Medicare or Medicaid programs or any other third party payor or Governmental Body as a result of the consummation of the Contemplated Transactions. Seller shall assume and be responsible for any liability incurred as a result of the filing of any of said reports or as a result of filing any previous Cost Report for periods prior to the Closing and shall be entitled to receive any refund or other benefit which may result from the filing of said reports or otherwise allocable to periods prior to the Closing. Such reports shall be prepared in accordance with applicable Law and consistent with past practices. Seller shall provide Purchaser with copies of said reports within a reasonable period of time prior to the filing thereof in order for Purchaser to review and provide Seller with comments thereon solely regarding reimbursement issues for periods after the Closing. Seller shall consider but not be required to make, Purchaser’s changes and shall determine in its reasonable discretion whether or not to incorporate Purchaser’s comments into any such Cost Report, by amendment or otherwise. Seller shall provide to Purchaser copies of all such documents promptly after filing.
Final Cost Report. The Sellers shall prepare and file any and all final cost reports for each Facility as and to the extent required by any Governmental Authority, Government Program or third party payor for the time period for which each of the Sellers was the operator or licensee of such Facility within the time frame required by Applicable Law for each Facility for which such a report should be prepared, but no later than one hundred and twenty (120) days after the Closing Date for such Facility, it being understood and agreed that it is the intent of the Parties that there shall be no interruption in the payments due to the Purchasers as a result of the failure of the Sellers to timely file such final cost reports.
