Division of Management Responsibilities. With the authorisation of the Supervisory Board, the members of the Executive Board may distribute management responsibilities between them. This distribution of powers may not, however, prevent the accountable managers (dirigeants responsables), within the meaning of banking regulations, from carrying out their missions and obligations as defined in the French Monetary and Financial Code (Code monétaire et financier). Neither may it cause the Executive Board to lose its role as the collective management body. The accountable managers must determine the operational policy of the Company. The members of the Executive Board shall also present to the Supervisory Board the breakdown of their respective powers. Action taken by individual members of the Executive Board within their field of expertise shall be deemed to have been taken collectively and shall be binding on the entire Executive Board. However, the Executive Board may decide that any action imposing an obligation on the Company in excess of a periodically defined amount shall require prior authorisation from the Executive Board, under the penalty of the author bearing personal responsibility vis-à-vis the Company and its shareholders.

Division of Management Responsibilities. The Contract Services specified in this Agreement reflect the managerial and policy decisions of COMMISSION. Beyond the types of services identified herein, COMMISSION may identify the task within the scope of this Agreement to be performed by COUNTY, and the portion of the recent budget to be allocated thereto, including, but not limited to, the location, and nature of specific projects. The COUNTY shall have responsibility for the operational management of the actual service. In cases where specific professional standards are applicable to the design or performance of such task, the COUNTY’S designated officer in charge (”OIC”), the designee, shall have the authority for decision making within that realm. The relevant COUNTY Department Director or the OIC shall be available on a regular basis to COMMISSION authorized designee to provide consultation and recommendations as contemplated herein.
Division of Management Responsibilities. During the term of this Participation Agreement, the County or, its designee at the Airport, shall have the continuing right and authority to manage and direct, in general terms and in accordance with the Airport’s Security Plan, the provision of law enforcement services as set forth in this agreement, including, but not limited to, deployment of personnel and equipment. However, where specific professional standards are applicable to the actual implementation of such law enforcement services, the Sheriff or his designated officer in charge of personnel assigned to the Airport shall have the authority for decision making as to those specific law enforcement matters. The Sheriff or his designated officer in charge shall be available to the County or, its designated Airport representative, on a regularly scheduled basis to provide consultation and recommendations related to general management decisions regarding law enforcement services at the Airport.
