ALPS’ Responsibilities Sample Clauses
ALPS’ Responsibilities. In connection with its performance of AVA, ALPS shall:
(a) provide technical support for AVA services, including: testing, quality control review, generation, and storage information;
(b) establish, based on the Fund’s direction, user accounts with access to Fund’s data and information;
(c) periodically review the list of users with access to Fund’s information and make the list available to the Fund for review; and
(d) provide a detailed proposal, including cost and a timeline, for any custom design or programming requested by the Fund.
ALPS’ Responsibilities. In connection with its performance of TA IVR, ALPS shall:
(a) receive transaction requests submitted via telephone to the TA IVR processing server and route transaction requests to the ALPS’ transfer agency system;
(b) for each transaction request received, route transaction information from the ALPS’ transfer agency system to the IVR server to be heard by users; and
(c) provide a detailed proposal, including cost and a timeline, for any custom design or programming requested by the Fund.
ALPS’ Responsibilities. In connection with its performance of TA Web, ALPS shall:
(a) receive transaction and new account requests electronically transmitted to the TA Web via the Internet following execution of a link from the Investment Company Web Site to TA Web and route transaction requests to the ALPS’ transfer agency system;
(b) for each transaction request received, route transaction and new account information from the ALPS’ transfer agency system to TA Web to be viewed by users;
(c) initiate the design, processing and maintenance of TA Web services;
(d) provide technical support for all TA Web services, including: testing, quality control review, generation and storage;
(e) periodically review the e-mail list for completeness and accuracy; and
(f) provide a detailed proposal, including cost and a timeline, for any custom design or programming requested by the Trust.
ALPS’ Responsibilities. In connection with its performance of TA2000 VOICE, ALPS shall:
(a) receive shareholder account inquiries submitted via telephone to the TA2000 VOICE processing server ;
(b) for each shareholder account inquiry received, route account information from the ALPS’ transfer agency system to the TA2000 VOICE server to be heard by users; and
(c) provide a detailed proposal, including cost and a timeline, for any custom design or programming requested by the Trust.
ALPS’ Responsibilities. In connection with its performance of FAN Web, ALPS shall:
(a) receive transaction and new account requests electronically transmitted to the FAN Web via the Internet following execution of a link from the Investment Company Web Site to FAN Web and route transaction requests to the ALPS’ transfer agency system;
(b) for each transaction request received, route transaction and new account information from the ALPS’ transfer agency system to FAN Web to be viewed by users;
(c) initiate the design, processing and maintenance of FAN Web services;
(d) provide technical support for all FAN Web services, including: testing, quality control review, generation and storage; and
(e) provide a detailed proposal, including cost and a timeline, for any custom design or programming requested by the Trust.
ALPS’ Responsibilities. In connection with its performance of TA Web and e-Delivery, ALPS shall:
(a) receive Transaction and new account requests electronically transmitted to the ALPS Web Site via the Internet following execution of a link from the Investment Company Web Site to the ALPS Web Site and route Transaction requests to the ALPS transfer agency system;
(b) for each Transaction request received, route Transaction and new account information from the ALPS transfer agency system to ALPS’ Web Site to be viewed by Users;
(c) modify TA Web Shareholder site to accommodate e-Delivery, On-Line Account Applications and TA Web-D services;
(d) initiate the design, processing and maintenance of shareholder e-Delivery, On-Line Account Applications and TA Web-D services;
(e) provide technical support for e-Delivery, On-Line Account Applications and TA Web-D services, including: testing, quality control review, generation, and storage of e-Delivery, On-Line Account Applications and TA Web-D.
(f) periodically review the e-mail list for completeness and accuracy.
(g) perform all other ALPS obligations as set forth in this Agreement.
ALPS’ Responsibilities. In connection with its performance of VISION, ALPS shall:
(a) provide technical support for VISION, including: testing, quality control review, generation and storage information; and
(b) periodically review the list of users with access to the Trust’s information and make the list available to the Trust for review.
ALPS’ Responsibilities. In connection with its performance of AVA and AVA e-Delivery, ALPS shall:
(a) provide technical support for AVA services, including: testing, quality control review, generation, and storage information;
(b) establish, based on the Transfer Agent’s direction, user accounts with access to Fund’s data and information;
(c) periodically review the list of users with access to Fund’s information and make the list available to the Transfer Agent or Fund for review;
(d) provide Designated Agents who are acting on their own behalf, or on the behalf of individuals whom the Designated Agents are authorized to trade on behalf of, with access to AVA for trade processing subject to Designated Agents acceptance of the AVA online user agreement; and
(e) perform all other ALPS obligations as set forth in this Agreement.
ALPS’ Responsibilities. In connection with its performance of TA Web, ALPS shall:
(a) provide all computers, telecommunications equipment and other equipment and software reasonably necessary to develop and maintain the Investment Company Web Site (which is not designed for use by the public) such website will not contain any marketing materials, but will contain brand graphics provided by the Fund;
(b) design and develop the Investment Company Web Site functionality necessary to facilitate and maintain the hypertext links to the ALPS Web Site and the various Transaction Web pages and otherwise make the Investment Company Web Site available to Shareholders;
(c) receive Transaction requests electronically transmitted to the ALPS Web Site via the Internet following execution of a link from the Investment Company Web Site to the ALPS Web Site and route Transaction requests to ALPS' transfer agency system;
(d) for each Transaction request received, route Transaction information from the ALPS' transfer agency system to ALPS' Web Site to be viewed by Users;
(e) perform all other ALPS obligations as set forth in the Agreement.
ALPS’ Responsibilities. The Services hereunder shall include: ALPS shall perform the Services to configure and implement certain enhanced web functionality on Customer’s website. Implementation will include the functions described more fully in the attached SOW. On-going Support Responsibilities. ALPS will provide the following support and maintenance services:
i. Maintaining the enhanced web infrastructure and associated disaster relief environments
ii. Updates to the common enhanced web software as needed to maintain compatibility with API’s
iii. Updates required by changes that ALPS chooses to make to the core enhanced web platform or hardware infrastructure that were not requested by Customer
iv. Access to the ALPS help desk and other online support as required and above the ALPS support layer v. Ongoing research and development of new features, functions, and interfaces
vi. Update as needed to maintain functionality with most recent browser updates as defined by the ALPS browser compatibility schedule vii. Updates as required to the Digital Investor main and disaster recovery environments
viii. In connection with Multi-Factor Authentication:
a. maintain User security profile information;
b. receive and route User login requests to an authentication risk engine for evaluation, issuing challenge responses when risk factors are identified in login attempt;
c. generate random authentication codes to be sent via Users’ registered contact methods, and require User to successfully enter valid authentication codes to gain access;
d. during instances of time to time downtime for planned maintenance or unavailability of the authentication risk engine, continue authentication by issuing challenges to all Users attempting logins until the maintenance window or unavailability of the authentication risk engine has concluded.
