District Property. District hereby agrees to sell, convey, and grant to City those Assets owned by District and located in the City of San Diego, State of California, and more particularly described on Exhibit “A-2" attached hereto and incorporated herein by this reference, together with all improvements located thereon (“District Property”), upon the terms and subject to the conditions described herein.

District Property. District hereby deems all information, documents, and property contained in or on District property privileged and confidential. Any removal or disclosure of any privileged and confidential materials by Provider without express written consent of District shall be considered a material breach of this Agreement and shall be cause for immediate termination of this Agreement. District Property. The District will sell, lease, convey, assign, or otherwise use or transfer the assets, liabilities, functions, or responsibilities of the District on terms and conditions, and with parties, acceptable to the District, if the Consultant advises the District that based upon a written needs assessment and cost savings analysis the sale, lease, assignment, use, or transfer is necessary to implement the Financial and Operating Plan. The District will close schools or other school buildings in the District as necessary to implement the Financial and Operating Plan, as recommended by the Consultant, based upon a written needs assessment and cost savings analysis.
District Property. The Contractor expressly assumes full responsibility for any and all damages to the District Property arising out of or in any way connected or associated with any work and/or activities performed by the Contractor pursuant to the provisions of this proposal including, but not limited to, the activities of the Contractor, its officers, employees, subcontractors, and others affiliated with the Contractor. The Contractor shall ensure that its activities on the District premises will be performed and supervised by adequately trained and qualified personnel and the Contractor will observe, and cause its officers, employees, subcontractors and others affiliated with the Contractor to observe all applicable district and safety rules.

The City shall enforce all District rules, regulations, and policies provided by the District while supervising community recreational activities on District Property. In planning programs and scheduling activities on school grounds, the security, academic, athletic, and recreational needs and opportunities of school-aged children will be the highest priority and be adequately protected.
