Owned Equipment definition

Owned Equipment shall have the meaning specified in Section 2.1(f).

Owned Equipment means (a) Equipment owned by Seller or any Other Seller that is held or used primarily in connection with the Business and (b) the other equipment listed on Section 1.1(e) of the Seller Disclosure Schedule.

Owned Equipment means all equipment, computer equipment, production equipment, office equipment, furniture, furnishings and tools of any kind owned by NMG and used or held for use in connection with the Business and any warranties of manufacturers and maintenance in relation to the foregoing, a complete and accurate list of which is attached as Schedule J;

More Definitions of Owned Equipment

Owned Equipment means the Newsprint Owned Equipment and the Apache Owned Equipment.

Owned Equipment has the meaning set forth in Section 4.6(a);

Owned Equipment means all equipment owned by the Companies and used in connection with the Business;

Owned Equipment means the machinery, equipment, furniture, hardware tools and test sets, associated spare parts and supplies and all other tangible personal property owned by the Seller, any of the Designated Sellers or French Newco and used primarily in the Operations, all of which are listed, and are located at, the locations referenced on Schedule 2.1(1)(d), including assets forming the subject of Open Purchase Orders for equipment that has been delivered to the Seller or the Designated Sellers French Newco as of the relevant Closing Date, together with all of Seller's and Designated Seller's rights as a licensee with respect to any operating software forming part of such equipment at the time of its purchase by the Seller or Designated Seller French Newco, but excluding Equipment at Third Party Locations and equipment located at the Shared Labs.

Owned Equipment means (i) those furniture (located on the Business premises), development, testing, field trial equipments, prototyping, computing and communications equipment and all other tangible personal property mainly used in the Business as of the Closing Date (excluding in any cases any intellectual property covering, embodied in or connected to any of the foregoing) and (ii) any tangible equipment that is used in connection with Administrative Services relating exclusively (unless listed in Schedule 2.1.1(2), if any, or otherwise specified in Section 5.11) to the Business, both (i) and (ii) which are owned by the Designated Sellers, including assets forming the subject of Open Purchase Orders which shall have been delivered to the Designated Sellers as of the Closing Date). Each Owned Equipment with a gross book value in excess of two thousands (2,000) euros are listed on Schedule 2.1.1(2). If applicable, this Schedule shall show the gross and net book value of each item comprised in the Owned Equipment.

Owned Equipment means (a) those items of tangible personal property owned by the Sellers that are held or used primarily in connection with the Business and that are located at the Carling Property, the Montreal Premises or any Real Property which is the subject of a Real Estate Agreement, (b) those items of tangible personal property owned by the Sellers that are personally assigned to, a Transferred Employee, (c) those other items of tangible personal property owned by the Sellers not included in clause (a) or (b) above that are held or used exclusively in the Business and (d) those other items of tangible personal property owned and paid for by the Sellers not included in clauses (a), (b) or (c) above and that are listed in Section 1.1(e) of the Sellers Disclosure Schedule excluding, in each case, any Owned Inventory and any Intellectual Property provided, however that the Owned Equipment shall not include any items of tangible personal property that are Excluded Assets described on Section 2.1.2(n) of the Sellers Disclosure Schedule.

Owned Equipment means all Equipment in Schedule A indicated as “Owned.”
