DIRECTV SERVICE. DIRECTV Service" shall mean the video, audio, data or other programming services distributed from time to time by DIRECTV via the DBS Distribution System (as defined in the Marketing Agreement), as edited, selected, packaged, scheduled and priced in DIRECTV's sole discretion.

DIRECTV SERVICE. DIRECTV shall provide the DIRECTV Service (for clarification, the video programming signal and content) to the Property and/or the Residents therein in accordance with Schedule A attached hereto. The DIRECTV Service, including the content, features and prices may be changed by DIRECTV from time to time. Owner understands that Dealer is an independent contractor authorized to sell DIRECTV Service. Dealer is not entering into this Agreement on behalf of or as an agent for DIRECTV. DIRECTV is not responsible for any act or omission of Dealer hereunder. Notwithstanding the foregoing, in consideration for good and valuable consideration and in consideration for the benefits conferred upon Owner and the Property herein, Owner and Dealer agree that: (i) Dealer may solicit and take orders for the DIRECTV Service from the Property residents, (ii) DIRECTV maintains the right to change programming and pricing at any time, (iii) this Agreement may not be assigned by Dealer without the prior written approval of DIRECTV, (iv) each party will copy DIRECTV via email on all written notices provided under the Agreement (email: XXXXxxxxxxx@xxxxxxx.xxx), (v) DIRECTV may, upon reasonable advance notice and in compliance with the Property’s security requirements, inspect the centralized distribution system used to deliver DIRECTV Service, (vi) all Residents must meet the requirements established by DIRECTV to be a DIRECTV subscriber, including the credit and term requirements, and (vii) in the event Dealer fails to perform any material obligation under (a) this Agreement (as evidenced by a notice of default from Property Owner to Operator) or (b) the agreement authorizing Dealer to sell DIRECTV Services (and Dealer failing to cure within the required cure period), then DIRECTV may access the Property as necessary to provide the DIRECTV Service through the centralized distribution system and any in-building cable wiring then being used by Dealer.

  • Service Each Party further agrees that service of any process, summons, notice or document by registered mail to its address set forth in Section 9.2.2 shall be effective service of process for any action, suit or proceeding brought against it under this Agreement in any such court.

  • Customer Service A. PRIMARY ACCOUNT REPRESENTATIVE. Supplier will assign an Account Representative to Sourcewell for this Contract and must provide prompt notice to Sourcewell if that person is changed.   • Stock Plan Administration Service Provider The Company transfers the Participant's Personal Information to Fidelity Stock Plan Services LLC, an independent service provider based in the United States, which assists the Company with the implementation, administration and management of the Plan (the “Stock Plan Administrator”). In the future, the Company may select a different Stock Plan Administrator and share the Participant's Personal Information with another company that serves in a similar manner. The Stock Plan Administrator will open an account for the Participant to receive and trade Shares acquired under the Plan. The Participant will be asked to agree on separate terms and data processing practices with the Stock Plan Administrator, which is a condition to the Participant’s ability to participate in the Plan.   • Distribution Services The Distributor shall sell and repurchase Shares as set forth below, subject to the registration requirements of the 1933 Act and the rules and regulations thereunder, and the laws governing the sale of securities in the various states ("Blue Sky Laws"):

  • Stock Plan Administration Service Providers The Company transfers Data to Xxxxxx Xxxxxxx Xxxxx Xxxxxx LLC, an independent service provider, which is assisting the Company with the implementation, administration and management of the Plan. In the future, the Company may select a different service provider and share Data with such other provider serving in a similar manner. The Participant may be asked to agree on separate terms and data processing practices with the service provider, with such agreement being a condition to the ability to participate in the Plan.

  • Service Provider The Service Provider also represents at the date this Agreement is entered into and any Service is used or provided:

  • TELEPHONE SERVICE Notwithstanding any other provision of this Lease to the contrary:

  • Exclusive Service Employee shall devote his best efforts and full time to rendering services on behalf of the Corporation in furtherance of its best interests.   • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.
