Conduct Requirements. Employee shall, at all times during the term of -------------------- this Agreement, conduct himself in such a manner so as to reflect credit to Employer and its subsidiaries and shall not do or perform any acts in his capacity as an employee of Employer which shall cause Employer to suffer loss of reputation or embarrassment.

Conducting unauthorized off-site ADAP/PrEP-AP enrollment. vi. Transporting files without having a transportation plan approved by CDPH/OA/ADAP staff. vii.Violating or otherwise not adhering to any requirement stipulated in this scope of work. * Knowingly providing inaccurate or false documentation may be in violation of various Penal Code laws and may be subject to violations of the California False Claims Act, which prohibits any person or entity from knowingly making or using a false statement or document to obtain money, property, or services from the State. (See California Government Code section 12650 et. seq.) To be maintained through the life of the contract. ADAP ES Contact and EW(s) Notify the ADAP/PrEP-AP Advisor when instances of misconduct are identified. Site Contacts may be required to submit a Corrective Action Plan. CDPH/OA/ADAP staff to address occurrences of misconduct. EWs who engage in misconduct may be subject to temporary or permanent suspension of ADAP EW status.

Conduct Requirements. LICENSEE represents and warrants to NBAP that LICENSEE shall faithfully comply with and adhere to, and LICENSEE shall use commercially reasonable efforts to ensure that all Third Party Contributors shall faithfully comply with and adhere to, all of the terms, provisions and policies contained in this Agreement, the Code of Conduct and all applicable United States and foreign laws, government rules and regulations, court and administrative decrees and the highest standard of business ethics then prevailing in the industry with regard to the conduct of all aspects of LICENSEE's (or any Third Party Contributor's) business and the manufacture, distribution, sale, testing and use of all Licensed Products (collectively, "Conduct Requirements"). NBAP and its authorized representatives shall have the right, upon reasonable prior notice and during regular business hours, to examine and audit LICENSEE to ensure compliance with the Conduct Requirements. LICENSEE shall allow NBAP access to any of its premises and personnel at all reasonable times for the purposes of such auditing. LICENSEE shall use commercially reasonable efforts in negotiating contracts with Third Party Contributors to provide NBAP and its authorized representatives with a contractual right to audit such Third Party Contributors to ensure compliance with the Conduct Requirements, including the right of NBAP to have access to the premises and personnel of any Third Party Contributor at all reasonable times for the purposes of such auditing. Conduct Requirements. Participant understands that all rules, policies and procedures adopted by the District and Town, the school, and the activity sponsor shall apply at all times during the use of the facilities and equipment. Participant is responsible during the use of the facilities and equipment. In the event of Participant's repeated or serious violations of such rules during the use of the facilities and equipment, Participant understands and agrees that Participant may be excluded from his or her continued participation in the use of the facilities and equipment at the District's and Town’s sole discretion.
