BUSINESS ETHICS. During the course of pursuing contracts, and the course of contract performance, Provider will maintain business ethics standards aimed at avoiding real or apparent impropriety or conflicts of interest. No substantial gifts, entertainment, payments, loans or other considerations beyond that which would be collectively categorized as incidental shall be made to any employees or officials of HISD, its authorized agents and representatives, or to family members of any of them. At any time Provider believes there may have been a violation of this obligation, Provider shall notify HISD of the possible violation. HISD is entitled to request a representation letter from Provider, its subcontractors or vendors at any time to disclose all things of value passing from Provider, its subcontractors or vendors to HISD’s personnel or its authorized agents and representatives. BUSINESS ETHICS. (a) Definition. As used in this clause--
BUSINESS ETHICS. 35. a. Supplier shall not act in any way that gives or may give rise to a liability under, violates or may violate any laws, regulations and/or other legally binding requirements or determinations in relation to bribery, corruption, fraud, money-laundering, terrorism, sanctions, collusion or anti-trust, human rights violations (including slavery, servitude, forced or compulsory labour and human trafficking), use of Conflict Minerals or similar activities which are applicable to either party or to any jurisdiction in which any work under this Purchase Order is performed and which shall include (without limitation): (i) the United Kingdom Xxxxxxx Xxx 0000, (ii) the United Kingdom Modern Slavery Xxx 0000, (iii) the United States Foreign Corrupt Practices Xxx 0000, (iv) any related enabling legislation pursuant to the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions and (v) any United States, United Nations, Canadian or European Union sanctions.
BUSINESS ETHICS. Counterparty, its employees, officers, agents, representatives and subcontractors shall at all times maintain the highest ethical standards and avoid conflicts of interest in the performance of Counterparty’s obligations under this PO. In conjunction with its performance of the Work, Counterparty and its employees, officers, agents and representatives shall comply with, and cause its subcontractors and their respective employees, officers, agents and representatives to comply with, all applicable laws, statutes, regulations and other requirements prohibiting bribery, corruption, kick-backs or similar unethical practices including, without limitation, the United States Foreign Corrupt Practices Act, the United Kingdom Bribery Act 2010, and the NVE Code of Business Conduct. Without limiting the generality of the foregoing, Counterparty specifically represents and warrants that neither Counterparty nor any subcontractor employees, officers, representatives or other agents of Counterparty have made or will make any payment, or have given or will give anything of value, in either case to any government official or the NVE (including any officer or employee of any governmental authority or the NVE) to influence his, her, or its decision or to gain any other advantage for NVE or Counterparty in connection with the Work to be performed hereunder. Counterparty shall maintain and cause to be maintained effective accounting procedures and internal controls necessary to record all expenditures in connection with this PO and to verify Counterparty’s compliance with this provision. NVE shall be permitted to audit such records as reasonably necessary to confirm Counterparty’s compliance with this provision. Counterparty shall immediately provide notice to NVE of any facts, circumstances or allegations that constitute or might constitute a breach of this provision and shall cooperate with NVE’s subsequent investigation of such matters. Counterparty shall indemnify and hold NVE harmless from all fines, penalties, expenses or other losses sustained by NVE as a result of Counterparty’s breach of this provision. The Parties specifically acknowledge that Counterparty’s failure to comply with the requirements of this provision shall constitute a condition of default under this PO.

No substantial gifts, entertainment, payments, loans or other considerations beyond that which would be collectively categorized as incidental shall be made to any employees or officials of Contractor by The XXXXXX CENTER employees, directors, officers and agents. At any time Contractor believes there may have been a violation of this obligation or any business ethics standard, Contractor shall notify The XXXXXX CENTER of the possible violation.
BUSINESS ETHICS. 27.1 Both PARTIES shall uphold the highest standards of business ethics in the performance of the CONTRACT. Honesty, fairness and integrity shall be paramount principles in the dealings between the PARTIES.
BUSINESS ETHICS. 30.1 The Contractor shall at all times perform this Contract in a lawful manner consistent with the highest ethical standards and principles, including strict adherence to Corporation’s Code of Business Ethics. The Contractor shall not at any time enter into any arrangement with personnel, officers or agents of the Corporation without the Corporation’s prior written approval.
