Compliance with Data Protection Laws. Data Controller shall comply with all of its obligations under Data Protection Laws when Processing Personal Data.

To the extent that you process any personal data about a PayPal customer pursuant to this agreement, you and PayPal will each be an independent data controller (and not joint controllers), meaning we will each separately determine the purposes and means of processing such personal data. From time to time Buyer may transfer data acquired from Seller for the purpose of carrying out the performance of this Contract with any member of its group (which means subsidiaries, ultimate holding company and its subsidiaries worldwide). The data collected may be transferred to, and stored at, a destination outside the European Economic Area ("EEA"). It may also be processed by staff operating outside the EEA who work for Buyer. By Seller submitting data, Xxxxxx agrees to this transfer, storing or processing. Buyer will take reasonable steps necessary to ensure that Seller’s data is treated securely and in accordance with the practices contained in Regulation (EU) 2016/679.
Compliance with Data Protection Laws. 2.1 The Parties agree that, to the extent that the Customer Data contains any Personal Data, the Customer is a Controller and the Supplier is a Processor for the purposes of processing Protected Data pursuant to this Agreement.

With respect to the Personal Data collected from Customers, You and UiPath agree that both You and UiPath are independent data controllers (and not joint controllers, as defined in the applicable Data Protection Laws) of the Personal Data that each independently processes. Each Party may collect, store and use information related to the other’s personnel (including sensitive data, as defined by the applicable Data Protection Laws) as necessary for the performance of this Agreement and by complying with the applicable Data Protection Laws. Each Party will inform its own personnel for the processing of their Personal Data in accordance with the applicable Data Protection Laws. UiPath processes Personal Data as described in its Privacy Policy available on its website. If any of the Parties would at any time act as a data processor on behalf of the other Party during the performance of this Agreement, the Parties shall enter into a data processing agreement in accordance with the applicable Data Protection Laws. UiPath confirms it recognizes the restrictions set forth above in this Section 6, and will confirm with the same.
Compliance with Data Protection Laws. 36.1. The Data Processor warrants that it has complied, and shall continue to comply, with the requirements of the applicable Data Protection Laws and all other data protection legislation in any jurisdiction relevant to the exercise of its rights or the performance of its obligations under this agreement.

The Receiving Party shall at all times comply with all Data Protection Laws in connection with the exercise and performance of its respective rights and obligations under this Agreement and the processing of the Shared Personal Data. This Agreement allocates certain rights and responsibilities among the parties as enforceable contractual obligations between themselves, however nothing in this Agreement is intended to limit or exclude either party’s responsibilities or liabilities under Data Protection Laws (including under Article 82 of the GDPR or under any similar Data Protection Laws and the duties owed by each party to Data Subjects under any Data Protection Laws).
