Claims Register. In order to reflect the entry into this Termination and Settlement Agreement, the Parties hereto acknowledge and agree that (a) the Asserted Xxxxxx Claims are each hereby deemed amended to the extent necessary to reflect the terms of the settlement reached in this Termination and Settlement Agreement and/or to reflect the reconciliation of the Asserted Xxxxxx Claims that has been ongoing among the Merrill Counterparties and the Xxxxxx Entities, which reconciliation has been completed as of the date hereof, (b) none of the Debtors shall join or support, and the Debtors shall file a response in opposition to, any objection to all or any portion of the Asserted Xxxxxx Claims or any derivative or guarantee questionnaire filed in connection therewith, and (c) the Debtors shall not propose, file or support any Chapter 11 plan or any other pleading in any of the Chapter 11 Cases that is inconsistent with the terms and conditions of this Termination and Settlement Agreement. Promptly after the Effective Date, the Xxxxxx Entities and the Merrill Counterparties shall execute and submit joint instructions to Epiq Bankruptcy Solutions, LLC, requesting that the claims register in the Chapter 11 Cases be amended (i) to reflect the allowance and/or disallowance of the Asserted Xxxxxx Claims in accordance with the terms set forth herein, and (ii) if necessary, to reflect any increase to the Allowed Xxxxxx Claims in accordance with Section 12 of this Termination and Settlement Agreement.

Claims Register. In order to reflect the entry into this Agreement, upon the Effective Date, the Parties hereto acknowledge and agree that (i) the Proofs of Claim and the Allowed US Claims shall be deemed amended to the extent necessary to reflect the terms of the settlement reached in this Agreement and/or to reflect the reconciliation of such claims that has been ongoing amongst the Parties, and (ii) they shall execute and submit joint instructions to Epiq Bankruptcy Solutions, LLC, requesting that the claims register in the Chapter 11 Cases be amended to reflect the allowance and disallowance of the Proofs of Claim in accordance with this Agreement.
Claims Register. The register of Claims maintained by the Debtors shall remain open after the Effective Date and the Liquidating Trust shall recognize any transfer of Claims at any time thereafter, provided that for purposes of each Distribution, the Liquidating Trust will not recognize any transfer of Claims for such Distribution after the Distribution Record Date relating to such Distribution; and, provided, further, for the avoidance of doubt, all Liquidating Trust Interests shall be non-transferable except as provided in Section 2.4 of this Trust Agreement. Except as otherwise provided in the Plan, any transfer of a Claim, whether occurring prior to or after the Confirmation Date, shall not affect or alter the classification and treatment of such Claim under the Plan and any such transferred Claim shall be subject to classification and treatment under the Plan as if such Claim was held by the transferor who held such Claim on the Petition Date.

TWO – The provisions of numbers ONE and TWO of clause Twenty One are applicable to the first delegation of management by the concessionaire on an Executive Director after the awarding of the present concession contract. Clause Ninety Six Bank accounts The concessionaire shall submit to the Government within seven days from the signing of the present concession contract, a document stating all its bank accounts and respective balances.   • Claims and Settlements Each party shall, within five (5) days after the making of any claim under the Bond, provide UMB Fund Services, Inc. (“UMBFS”) with written notice of the amount and nature of such claim, and UMBFS will provide written notice to all other parties within five (5) days of receipt.
