Authority Discretion. The Authority shall be responsible for determining in its absolute discretion and notwithstanding any other provision in this Framework Agreement or any other agreement whether Information deemed commercially sensitive and/or any other Information is exempt from disclosure in accordance with the provisions of the FOIA or the Environmental Information Regulations. The Authority, prior to exercising its discretion under Clause 21.3(a), shall consult with the Supplier as to whether Information is deemed commercially sensitive. In exercising its discretion, the Authority agrees to not act unreasonably.

Authority Discretion. Except as provided in Section 408.2, Developer agrees that Authority may refuse its consent to a proposed Transfer in its sole and absolute discretion until the recordation of the Release of Construction Covenants. After completion of the Housing Units, Authority shall not unreasonably withhold its consent to any proposed Transfer so long as the proposed transferee is financially qualified and has sufficient experience to perform the agreements, undertakings and covenants of this Agreement.
Authority Discretion. If the Authority considers it to be in the Authority’s best interest, it may choose not to declare default or to terminate the Contract. The parties acknowledge that this provision is solely for the benefit of the Authority and that if the Authority permits Manager to continue providing Services despite one or more events of default, the Manager is in no way relieved of any of its duties and obligations under the Contract and the Authority does not waive or relinquish any of its rights.

  • Discretionary Authority BROKERAGE - ING-IM shall have full and complete discretion to establish brokerage accounts in the name of the Client and execute transactions in securities markets in the name of the Client, pursuant to proper authorization from the Client, through one or more securities broker/dealer firms as ING-IM may select, including those which from time to time may furnish to ING-IM statistical and investment research information and other services. The Client accepts the Statement of Policy on Brokerage Practices which is attached to this Agreement as EXHIBIT "B" and incorporated herein by reference. This policy may be modified by ING-IM in consultation with the Client.

  • Authority of the Arbitrator i. It is the intent of both parties to this Collective Agreement that no grievance shall be defeated merely because of a technical error in processing the grievance through the grievance procedure.
