COUNTY Discretion. At the sole discretion of County, payments to Subrecipient may be made more frequently than monthly, but such payments shall always be in arrears and not in advance of the provision of services by Subrecipient.

COUNTY Discretion. Nothing in this Agreement, including, but not limited to, the conveyance of the Property by the Agency to the County, limits the County’s discretion in complying with all applicable requirements of CEQA, or considering any requested land use or other approvals related to the development of the Property, whether by a Third Party Developer or otherwise. The Board of Supervisors retains ultimate discretion in approving, denying, or conditioning any approval needed for any Proposed Development by any Third Party Developer, or otherwise.
COUNTY Discretion. Invoices: Subrecipient shall provide monthly invoices by the 10th day following the month being reported. Invoices shall show the most up to date costs chargeable to the program(s) referenced in this Contract. Subrecipient must provide adequate documentation as required by County in accordance with the OC Community Resources Contract Reimbursement Policy for documenting Subrecipient costs, incorporated herein by reference as Exhibit 5. Failure to provide any of the required documentation will cause County to withhold all or a portion of a request for reimbursement, or return the entire reimbursement package to Subrecipient, until such documentation has been received and approved by County. If Subrecipient expenditures for any program referenced in this Contract fall below 20% of planned expenditures for any cumulative period commencing from the beginning of the term of this Contract, Subrecipient may be subject to a reduction in funding. No payments will be authorized if any preceding month’s reports or invoices have not been received
COUNTY Discretion. County is not approving, committing to, or agreeing to undertake: (a) the Proposed Project or any development; (b) disposition, sale or lease of land to TCLA; or (c) any other acts or activities requiring the subsequent independent exercise of discretion by County.
COUNTY Discretion. The rights granted in this Agreement are subject to the County’s exercise of its statutory authority under all statutes that confer such authority on the County, and nothing in this Agreement shall be read to limit the exercise of such authority. The County, among other things, does not waive the requirements of applicable Laws including, but not limited to bylaws, codes, ordinances, and resolutions relating to zoning, building permits and fees, rules regarding the time, place and manner of construction, or the use of the lands comprising the Public Properties.

If 9 CONTRACTOR’s expenditures for any program referenced in this Agreement fall below 20% of planned 10 expenditures for any cumulative period commencing from the beginning of the term of this Agreement, CONTRACTOR may be subject to a reduction in funding. No payments will be authorized if any preceding 11 month’s reports or invoices have not been received.
